COMPLETELY AND CAREFULLY BEFORE USING KIA CONNECT SERVICES OR ANY FEATURES OR DOWNLOADS AVAILABLE THROUGH KIA CONNECT SERVICES. THIS AGREEMENT SETS FORTH THE LEGALLY BINDING TERMS AND CONDITIONS FOR YOUR USE OF KIA CONNECT SERVICES, TO WHICH YOU CONSENT TO BE BOUND BY YOUR CONTINUED USE OF KIA CONNECT SERVICES. YOU UNDERSTAND AND ACKNOWLEDGE THAT THE FEATURES AND DOWNLOADS OFFERED THROUGH THE KIA CONNECT SERVICES APP ARE PROVIDED THROUGH YOUR WIRELESS MOBILE DEVICE AND RELY ON YOUR DATA PLAN, AND THAT STANDARD DATA AND OTHER FEES MAY BE CHARGED BY YOUR MOBILE CARRIER TO PARTICIPATE IN SUCH FEATURES PURSUANT TO THE TERMS AND CONDITIONS OF YOUR DATA PLAN.

AS SET FORTH IN MORE DETAIL BELOW, YOU ACKNOWLEDGE THAT WHEN YOU USE YOUR VEHICLE, KIA CONNECT SERVICES MAY COLLECT, RECORD, STORE AND TRANSMIT INFORMATION THAT IS FURTHER DESCRIBED IN THESE TERMS AND IN OUR KIA CONNECT  PRIVACY POLICYIF YOU WISH FOR KIA CONNECT SERVICES TO STOP TRANSMITTING AND/OR COLLECTING INFORMATION FROM YOUR VEHICLE, PLEASE CONTACT THE KIA CONNECT CALL CENTER AT 1-844-886-9411, WHICH CAN DETERMINE WHETHER YOUR KIA CONNECT SERVICE IS COLLECTING AND TRANSMITTING SUCH INFORMATION AND WHETHER KIA CONNECT SERVICES HARDWARE CAN BE DEACTIVATED FROM YOUR VEHICLE.

AS FURTHER SET FORTH IN MORE DETAIL BELOW, THESE TERMS REQUIRE YOU TO ARBITRATE ANY DISPUTES YOU HAVE WITH US ON AN INDIVIDUAL BASIS.  THIS MEANS YOU WAIVE THE ABILITY TO BRING CLAIMS AGAINST US IN A CLASS OR REPRESENTATIVE ACTION TO THE MAXIMUM EXTENT PERMITTED BY LAW.

UNAVAILABILITY IN CERTAIN MASSACHUSETTS VEHICLES. PLEASE NOTE THAT KIA CONNECT SERVICES ARE CURRENTLY UNAVAILABLE IN CERTAIN MODEL YEAR 2022 AND NEWER VEHICLES PURCHASED OR SOLD IN MASSACHUSETTS. Introduction

Welcome to KIA CONNECT SERVICES, formerly known as “UVO SERVICES”!  The term “KIA CONNECT SERVICES” refers to our suite of Kia Connect products, which were formerly known as UVO products, and which include, without limitation, products currently or previously branded as Kia Connect, Kia eServices and UVO eServices, UVO link, UVO luxe and UVO eco or any other UVO services. To access or use features available through KIA CONNECT SERVICES, you may have either visited the Kia Owners Portal at www.owners.kia.com (formally known as a MyUVO account and available at www.myuvo.com) or the Kia Owners Portal/Kia Connect smartphone or smartwatch application (the “KIA CONNECT SERVICES App”), or otherwise have KIA CONNECT SERVICES Hardware (defined below) installed within your Vehicle (defined below).  These Terms are the agreement between us and you regarding our provision of KIA CONNECT SERVICES to you, regardless of how you access or use KIA CONNECT SERVICES.  If you activate, receive, use, accept or otherwise access KIA CONNECT SERVICES, you accept and agree to be bound by these Terms.  

By using KIA CONNECT SERVICES, you acknowledge the Kia Connect Privacy Policy and consent to the collection and processing of your data in accordance with the Kia Connect Privacy Policy . By using KIA CONNECT SERVICES, you further agree that Kia may change, alter, or modify the settings or configurations on your Device (defined below) in order to allow for or optimize your use of KIA CONNECT SERVICES.

    IF YOU WANT TO USE KIA CONNECT SERVICES, THEN CAREFULLY READ THESE TERMS, AS THEY CONSTITUTE A WRITTEN AGREEMENT BETWEEN YOU AND KIA AND THEY AFFECT YOUR LEGAL RIGHTS AND OBLIGATIONS. If you are under the age of majority in your state of residence to enter into a binding contract, you may use KIA CONNECT SERVICES only with involvement and consent of a parent or guardian who is a member in good standing and maintains a KOP Account (defined below).

 

Each time you access and/or use KIA CONNECT SERVICES, you agree to be bound by and comply with all of the terms and conditions of the Terms and any Additional Terms (defined below). Therefore, do not use KIA CONNECT SERVICES if you do not agree to all of the terms of these Terms and any Additional Terms. The business realities associated with operating KIA CONNECT SERVICES are such that, without the limitations that are set forth in these Terms - such as your grants and waivers of rights, the limitations on our liability, your indemnity of us, and arbitration of certain disputes – we would not and, in some cases, could not make KIA CONNECT SERVICES available to you.

In some instances, both these Terms and separate guidelines, rules, or terms of service or sale setting forth additional or different terms and/or conditions will apply to your use of KIA CONNECT SERVICES or to a service or product offered thereon (in each such instance, and collectively, “Additional Terms”). To the extent there is a direct conflict between these Terms and any Additional Terms, the Additional Terms will control unless the Additional Terms expressly state otherwise.

Full Details of Terms of Service

In addition to KIA CONNECT SERVICES listed in the introductory paragraph above, the term “KIA CONNECT SERVICES” also means any Internet domain address within which these Terms are posted and all features, widgets, applications, content, and downloads that are operated by us and that are available through or interact with KIA CONNECT SERVICES and/or post a link to these Terms. KIA CONNECT SERVICES are provided by Kia America, Inc. (formerly known as Kia Motors America, Inc., and herein referred to as “Kia,” “we,” “our” or “us”). Also, as used in these Terms, the terms “Kia,” “we,” “our,” or “us” shall be deemed to collectively refer to the following entities, each of which is intended to be a direct beneficiary of these Terms: (i) Kia America, Inc. and its parent company, affiliates, successors, and assigns and authorized dealers of Kia-branded vehicles in the United States; (ii) any Service Provider (defined below) engaged by Kia to provide services that are offered as part of KIA CONNECT SERVICES, and their affiliates, successors, and assigns; and (iii) any employees, directors, officers, subcontractors, representatives, and agents of any of the foregoing. As used in these Terms, the terms “you” and “your” shall be deemed to refer to, and these Terms shall be binding upon, any person or entity who has purchased, rented, or leased a Vehicle equipped with, or uses as a driver or occupant (e.g., additional drivers or passengers) of your Vehicle, KIA CONNECT SERVICES and/or has activated or registered to use the KIA CONNECT SERVICES pursuant to Section 3 or 9 of this Agreement.

     
  1. SERVICE REQUIREMENTS AND SERVICE PROVIDERS. In order for you to use KIA CONNECT SERVICES, the Kia-branded vehicle (“Vehicle”) must come equipped with KIA CONNECT SERVICES hardware (the “KIA CONNECT SERVICES Hardware”), which is the equipment, including hardware and software, used to assist with providing KIA CONNECT SERVICES. In order to utilize some KIA CONNECT SERVICES, certain Vehicle models and trims may require you to have a wireless mobile Device with Bluetooth® wireless technology with the KIA CONNECT SERVICES App downloaded onto your mobile Device, while other Vehicle models and trims are equipped with an embedded modem in the Vehicle. Additionally, you must have an active Kia Owners Portal account available at https://owners.kia.com (formally known as a MyUVO account and formerly available at www.myuvo.com ) (“KOP Account”) to receive access to some of the features available through KIA CONNECT SERVICES. By signing-up or otherwise utilizing KIA CONNECT SERVICES, you represent and warrant that you are the owner of the Vehicle or otherwise have all necessary permissions from the owner of the Vehicle to bind both you and the owner of the Vehicle to these Terms. Kia may interact with and/or engage one or more third party providers as necessary to provide KIA CONNECT SERVICES. Those third party providers include any person, company, or entity who provides any service, equipment, or facilities in connection with KIA CONNECT SERVICES or KIA CONNECT SERVICES Hardware, including, but not limited to, wireless service providers, telematics service providers, such as Cellco Partnership, d/b/a Verizon Wireless (“Verizon”), underlying wireless carriers, suppliers, licensors, public safety answering points, emergency responders and other service providers (such as police, fire, and ambulance), towing companies, automobile makers, distributors and dealers. Such third-party providers are referred to in these Terms as “Service Provider(S)”. Kia or our Service Providers, may receive and respond to your requests for service through an automated operator or through Kia Customer Care.

  3. QUESTIONS, CUSTOMER SERVICE, AND FEEDBACK YOU SUBMIT. If you have any questions regarding using KIA CONNECT SERVICES, you may contact Kia Customer Care by sending us a message here or calling the Kia Connect Call Center toll-free at: 1-844-886-9411. We have no obligation to provide you with customer support of any kind. We want to hear from you and will try to assist, but whatever customer support we may offer from time to time, will be at our sole discretion, and will be provided only if you have a KOP Account and added KIA CONNECT SERVICES to it.

    In your communications with us, please keep in mind that unless we expressly request them, we do not seek any unsolicited ideas or materials for products or services, or even improvements to products or services, such as ideas, concepts, inventions, or designs for vehicles or vehicle features or otherwise (collectively, “Unsolicited Ideas and Materials”). Any information and materials you send to us in connection with KIA CONNECT SERVICES (regardless of whether we have requested them or not) are deemed Unsolicited Ideas and Materials and licensed to us as set forth below. In addition, we retain all of the rights held by members of the general public with regard to your Unsolicited Ideas and Materials. Kia’s receipt of your Unsolicited Ideas and Materials is not an admission by us of their novelty, priority, or originality, and it does not impair our right to contest existing or future intellectual property rights relating to your Unsolicited Ideas and Materials.

    Except as otherwise described in the Kia Connect Privacy Policy or any Additional Terms, you agree that: (a) your Unsolicited Ideas and Materials will be treated as non-confidential – regardless of whether you mark them “confidential,” “proprietary,” or the like – and will not be returned, and (b) Kia does not assume any obligation of any kind to you or any third party with respect to your Unsolicited Ideas and Materials. Upon our request, you will furnish us with any documentation necessary to substantiate the rights to such content and to verify your compliance with these Terms or any Additional Terms. You acknowledge that the Internet and mobile communications may be subject to breaches of security and that you are aware that submissions of Unsolicited Ideas and Materials may not be secure, and you will consider this before submitting any such materials and do so at your own risk. You acknowledge that other users may have created ideas and concepts contained in their Unsolicited Ideas and Materials that may have familiarities or similarities to your own Unsolicited Ideas and Materials, and that you will not be entitled to any compensation or right to negotiate with Kia because of these familiarities or similarities. Notwithstanding any custom and practice to pay an individual for an idea (if any), nothing herein shall create an implied or express contract to compensate users for their Unsolicited Ideas and Materials and there is no obligation for Kia to pay or otherwise compensate you for any of ideas or materials in any communications with Kia, whatsoever.

    By providing Unsolicited Ideas and Materials to us or others via KIA CONNECT SERVICES, you hereby grant to Kia the non-exclusive, unrestricted, unconditional, unlimited, worldwide, irrevocable, perpetual, and cost-free right and license to use, copy, record, distribute, reproduce, disclose, sell, re-sell, sublicense (through multiple levels), display, publicly perform, transmit, publish, broadcast, translate, make derivative works of, and otherwise use and exploit in any manner whatsoever, all or any portion of your Unsolicited Ideas and Materials (and derivative works thereof), for any purpose whatsoever in all formats, on or through any media, software, formula, or medium now known or hereafter developed, and with any technology or devices now known or hereafter developed, and to advertise, market, and promote the same. Without limitation, the granted rights include the right to: (a) configure, host, index, cache, archive, store, digitize, compress, optimize, modify, reformat, edit, adapt, publish in searchable format, and remove such Unsolicited Ideas and Materials and combine same with other materials, and (b) use any ideas, concepts, know-how, or techniques contained in any Unsolicited Ideas and Materials for any purposes whatsoever, including developing, producing, and marketing products and/or services. In order to further effectuate the rights and license that you grant to Kia to your Unsolicited Ideas and Materials, you also hereby grant to Kia, and agree to grant to Kia, the unconditional, perpetual, irrevocable right to use and exploit your name, persona, and likeness in connection with any Unsolicited Ideas and Materials, without any obligation or remuneration to you. Except as prohibited by law, you hereby waive, and you agree to waive, any moral rights (including attribution and integrity) that you may have in any Unsolicited Ideas and Materials, even if it is altered or changed in a manner not agreeable to you. To the extent not waivable, you irrevocably agree not to exercise such rights (if any) in a manner that interferes with any exercise of the granted rights. You understand that you will not receive any fees, sums, consideration, or remuneration for any of the rights granted in this Section 2.

    From time to time, areas on KIA CONNECT SERVICES may expressly request submissions of concepts, improvements, feedback, or other potential content from you (“Invited Submissions”). Where this is the case, please carefully read any Additional Terms which appear elsewhere on KIA CONNECT SERVICES to govern those submissions, as they will affect your legal rights. If no Additional Terms govern those submissions, then this Section 2 of these Terms will apply in full to any Invited Submissions and you grant us a license to them just as if they were Unsolicited Ideas and Materials.

  5. STARTING AND TERMINATING KIA CONNECT SERVICES. In order to access or use some of the features on KIA CONNECT SERVICES, you may be required to first register for a KOP Account through our online registration process and sign up for a free trial and/or purchase a subscription (as described in Section 4 of these Terms). In some Vehicles, you may be able to enable features of KIA CONNECT SERVICES directly from your Vehicle’s head unit or access some services offered through KIA CONNECT SERVICES without a KOP Account. These Terms apply to your access and/or use of KIA CONNECT SERVICES regardless of whether you first register for a KOP Account. KIA CONNECT SERVICES practices governing any resulting collection and use of your personal information are disclosed in our Kia Connect Privacy Policy.

    If you register for any feature that requires a password and/or username, then you will select your own password at the time of registration (or we may send you an e-mail notification with a randomly generated initial password) and you agree that: (i) You will not use a username (or e-mail address) that is already being used by someone else, may impersonate another person, belongs to another person, violates the intellectual property or other right of any person or entity, or is offensive. We may reject the use of any password, username, or e-mail address for any other reason in our sole discretion; (ii) You will provide accurate, current, and complete registration information about yourself in connection with the registration process and, as permitted, to maintain and update it continuously and promptly to keep it accurate, current, and complete; (iii) You are solely responsible for all activities (including purchases) that occur under your KOP Account, password, and username – whether or not you authorized the activity; (iv) You are solely responsible for maintaining the confidentiality of your password and for restricting access to your Device so that others may not access any password protected portion of KIA CONNECT SERVICES using your name, username, or password; (v) You will immediately notify us of any unauthorized use of your KOP Account, password, or username, or any other breach of security; and (vi) You will not sell, transfer, or assign your KOP Account or any KOP Account rights.

    We will not be liable for any loss or damage (of any kind and under any legal theory) to you or any third party arising from your inability or failure for any reason to comply with any of the foregoing obligations.

    If any information that you provide, or if we have reasonable grounds to suspect that any information that you provide, is false, inaccurate, outdated, incomplete, or violates these Terms, any Additional Terms, or any applicable law, then we may suspend or terminate your access to certain KIA CONNECT SERVICES (including access to your KOP Account).  We also reserve the more general and broad right to terminate your KOP Account or suspend or otherwise deny you access to it or its benefits – all in our sole discretion, for any reason, and without advance notice or liability after which your KOP Account will be deactivated and your access to certain KIA CONNECT SERVICES will terminate.  This means that we can decide to cease providing certain KIA CONNECT SERVICES to you at any time and for any reason, even for reasons unrelated to you or your KOP Account with us.  Additionally, we may cancel your access to certain KIA CONNECT SERVICES without prior notice to you if we have received information that establishes you are no longer the renter/owner/lessee of your Vehicle.  This means, for example, we can terminate your access to certain KIA CONNECT SERVICES immediately if you breach any part of these Terms, interfere with our efforts to provide KIA CONNECT SERVICES, interfere with our business, or if your wireless phone number is used for illegal or improper purposes.  You do not have any right to have KIA CONNECT SERVICES reactivated, even if you cure any of these problems.  Whether to allow you to have access to deactivated KIA CONNECT SERVICES again will be entirely up to us.  We can suspend your access to certain KIA CONNECT SERVICES for any reason, including, without limitation, for network or system maintenance or improvement, or if there is network congestion. Notwithstanding any cancellation or deactivation of KIA CONNECT SERVICES, the dispute resolution policy at Section 7 herein shall remain in full force and effect.
     
    If you have KIA CONNECT SERVICES installed in your Vehicle and you sell or otherwise transfer your Vehicle to a new owner, you must (i) immediately cease using KIA CONNECT SERVICES and remove your Vehicle from your KOP Account; and (ii) delete all stored information from your Vehicle. If you wish to disable your access to KIA CONNECT SERVICES, you must either bring your Vehicle to a Kia dealer or call the Kia Connect Call Center at: 1-844-886-9411.

    If you have KIA CONNECT SERVICES installed in your Vehicle and you purchased your Vehicle from a previous owner as a used car, you must check to confirm that the previous owner disabled his or her access to KIA CONNECT SERVICES associated with your Vehicle.  If you fail to do so, the previous Vehicle owner may continue to have access to Vehicle information that is collected as you use the Vehicle and he/she may be able to interact with and change the Vehicle’s settings.  If you wish to confirm whether a previous owner disabled his/her access to KIA CONNECT SERVICES, you must either bring your Vehicle to a Kia dealer or call the Kia Connect Call Center at: 1-844-886-9411.  You may be required to offer proof of ownership to your Vehicle before a previous owner’s access to KIA CONNECT SERVICES will be disabled.  Kia is not responsible or liable for any claims, damages, or liability that may arise from any user’s failure to timely disable a previous Vehicle owner’s access to KIA CONNECT SERVICES.

  7. TERMS APPLICABLE TO SUBSCRIPTIONS.

    A.

    Free Trials/Promotional Offerings. Kia may offer certain Vehicle owners promotional trial subscriptions to access certain KIA CONNECT SERVICES and certain Digital Features and Services (defined below) for free for a limited time or at special discounted prices. Depending on your Vehicle model and trim, Kia may offer certain limited free trial access for a specified time period to access and try out KIA CONNECT SERVICES and Digital Features and Services offered via KIA CONNECT SERVICES. More information about whether your Vehicle qualifies for a free trial to certain KIA CONNECT SERVICES and Digital Features and Services offered via KIA CONNECT SERVICES, and how long that free trial will last, can be found here (for KIA CONNECT SERVICES) and here(for Digital Features and Services). If you sign up for a trial use, your rights to access and use certain KIA CONNECT SERVICES and Digital Features and Services offered via KIA CONNECT SERVICES are limited by the terms of such trial and will terminate or renew on the terms of your trial arrangement and/or any applicable Additional Terms. Please be aware that when you sign up for a free trial or wish to extend a free trial for an additional stated period of time, you may be required to provide your credit/debit card number and Kia, or our third-party credit/debit card processor, will confirm your credit/debit card is valid and store your credit/debit card for the entirety of the free trial period so we can charge you when your free trial ends. When we process your credit/debit card, some credit/debit card companies may place a temporary hold on your account for your first payment. Please contact your credit/debit card company if you have questions. Please note that we do not provide price protection or refunds in the event of a price drop or promotional offering.

    B.

    Kia Connect Lite for KIA CONNECT SERVICES Subscriptions.  To the extent you choose not to purchase a paid subscription to KIA CONNECT SERVICES after the conclusion of your free trial period, certain KIA CONNECT SERVICES subscriptions will be downgraded to the free Kia Connect Lite package (formerly known sometimes as the “Basic/Lite Package”). You consent to us automatically downgrading your subscription level to Kia Connect Lite if you choose not to purchase or fail to pay for a paid subscription package, and if your Vehicle is eligible for Kia Connect Lite.

    i.

    For vehicles that come equipped with the Connected Car Navigation Cockpit (“ccNC”) operating system, Kia Connect Lite is only available for up to a ten (10) year period starting from the Vehicle’s new vehicle retail sale/lease date as recorded by the dealer. After this tenth (10th) year date passes, Kia Connect Lite will no longer be available for the Vehicle. For instance, if you purchase a new vehicle and immediately enroll in a Kia Connect Ultimate subscription for the first four (4) years of ownership and then cancel this subscription, Kia Connect Lite would only be available for up to the remaining six (6) years in the ten (10) year period.

    ii.

    For vehicles that are not equipped with the ccNC operating system, Kia Connect Lite is only available in vehicles for up to a five (5) year period starting from the Vehicle’s new vehicle retail sale/lease date as recorded by the dealer. After this fifth (5th) year date passes, Kia Connect Lite will no longer be available for the Vehicle. For instance, if you purchase a new vehicle and immediately enroll in a Kia Connect Ultimate subscription for the first two (2) years of ownership and then cancel this subscription, Kia Connect Lite would only be available for up to the remaining three (3) years in the five (5) year period.

    Please note that even at the “Kia Connect Lite” package subscription level, Kia may still collect information from you as disclosed in our Kia Connect Privacy Policy. In the event that you cancel a paid subscription to KIA CONNECT SERVICES in the middle of your Subscription Term (defined below), you will be entitled to receive a refund for the unused portion of the remainder of that Subscription Term, as noted in more detail in Section H below. Kia will have the right, upon written notice to you, to terminate this Agreement, and cancel your subscription (or automatically downgrade your subscription to the free Kia Connect Lite package, if you are eligible) if: (a) you fail to pay Kia any amount due to Kia under this Agreement; and/or (b) you materially breach any term or condition of this Agreement. Upon the expiration or termination of this Agreement for any reason, your access to, and your use of, your paid subscription to KIA CONNECT SERVICES will terminate and you may be automatically downgraded to the free Kia Connect Lite package if your Vehicle is eligible, as described in Section 4(A).

    C.

    Purchases and Subscriptions Generally.  For information on the various subscription packages we offer and the pricing of each subscription package for KIA CONNECT SERVICES, please click here. For information on the purchase prices for various subscription packages we offer and the pricing of each subscription package for any Digital Features and Services available through KIA CONNECT SERVICES, please click here. To purchase a paid subscription to access and use KIA CONNECT SERVICES and/or applicable Digital Features and Services offered via KIA CONNECT SERVICES, you must be at least eighteen (18) years of age or the applicable age of majority in your jurisdiction of residence.  Prior to the purchase of a paid subscription, or for any purchases via the Kia Connect Store (as described below), you must provide us with a valid credit/debit card number and associated payment information including all of the following: (i) your name as it appears on the card, (ii) your credit/debit card number, (iii) the credit/debit card type, (iv) the date of expiration, and (v) any activation numbers or codes needed to charge your card.  By submitting that information to us or our third-party credit/debit card processor, you agree that you authorize us and/or our processor to charge your card at our convenience.  For any paid subscription you purchase, you agree to pay the price applicable (including any sales taxes and surcharges) as of the time you submit the order.  Kia will automatically bill your credit/debit card or other form of payment submitted as part of the order process for such price.  

    D.

    Subscription Term & Termination.  Except in the event of a free trial offer, your subscription will commence as of the date your payment for a subscription is received by Kia. Your subscription will continue in full force for the length of the term you specifically purchased or on a month-to-month term until you cancel the subscription as further explained below (the “Subscription Term”). Kia will have the right, upon written notice to you, to terminate this Agreement, and cancel your subscription if: (a) you fail to pay Kia any amount due to Kia under this Agreement; and/or (b) you materially breach any term or condition of this Agreement. Kia shall have the right to terminate this Agreement and suspend your access to your subscription with or without cause, upon thirty (30) days written notice to you in which case you will no longer be charged for access to the paid subscription features. Upon the expiration or termination of this Agreement for any reason, your access to, and your use of, your paid subscription will terminate.

    E.

    Auto-Renewal of SubscriptionUnless otherwise disclosed in connection with your purchase of any KIA CONNECT SERVICES or Digital Features and Services subscription, your subscription will automatically renew at the end of your Subscription Term continuously and indefinitely without action by you, and the subscription fee is charged to you at the time of renewal.  A user whose subscription fee has been paid is entitled to all privileges included in the subscription package until the membership is cancelled by the enrolled member as set forth in the paragraph below.  By providing your payment method information for your subscription, you are agreeing to pay a subscription fee, that will automatically renew, at the then-current rate, unless you cancel prior to the expiration of the current Subscription Term, and any applicable taxes and service fees (collectively, “Fees”).  The Fees will be charged to your original payment method automatically at the beginning of your Subscription Term, and at the beginning of each renewal Subscription Term thereafter on the calendar day corresponding to the commencement of your current Subscription Term, unless you cancel your subscription or your account is suspended or terminated pursuant to this Agreement.  The renewal Subscription Term will be the same length as your initial Subscription Term unless otherwise disclosed to you at the time of sale.  The rate for the renewal Subscription Term will be the then-current subscription-rate.  The Fees charged to your payment method may vary from Subscription Term to Subscription Term due to changes in your subscription plan or applicable taxes, and you authorize Kia to charge your payment method for these amounts.  Kia reserves the right to change the pricing of subscriptions at any time.  In the event of a price change, Kia will post the new pricing of the subscription and attempt to notify you in advance by sending an email to the address you have registered for your account.  You agree that we may change the pricing we charge you for your subscription and any products/services offered in your subscription package by providing you with notice through an electronic communication from us and you agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.  You consent to our ability to change our pricing and the details of our subscription packages through an electronic communication to you.  If you do not wish to accept a price or subscription package change made by us, you may cancel your subscription as described below; otherwise you will be deemed to have consented to the price/subscription package change and authorize Kia to charge the new Fees to your payment method.  If there are any discrepancies in billing, you hereby waive your right to dispute such discrepancies if you do not notify Kia within sixty (60) days after they first appear on an account statement.

    F.

    Cancellation of Purchases or Subscriptions

    i.

    KIA CONNECT SERVICES Subscriptions:You will have the right to cancel your KIA CONNECTION SERVICES subscription at any time upon notice to Kia by phone at 1-844-886-9411 or by going online to your KOP Account Overview and clicking on “Cancel Subscription.” If you wish to cancel by phone, our customer service operators are available seven (7) days a week, 5:00 a.m. Pacific Time to 6:00 p.m. Pacific Time. Please see Section 4(H) for information on our Refund Policy. Upon cancellation of KIA CONNECT SERVICES, you lose access to the functionality of the KIA CONNECT SERVICES designated for paid subscribers only. As described in Section 4(A), your KIA CONNECT SERVICES package may be downgraded to the free Kia Connect Lite package, if your Vehicle is eligible. A downgrade to Kia Connect Lite could mean you will lose access to data and analyses that have been displayed during your paid subscription as permitted by law. If you have subscribed to any Digital Features and Services, you must cancel your subscriptions to all such Digital Features and Services before you can cancel your KIA CONNECT SERVICES subscription.

    ii.

    Digital Features and Services Purchases or Subscriptions: You will have the right to cancel your Digital Features and Services purchase or subscription at any time by going online to your KOP Account or your Kia Access application, accessing the Digital Feature and Service page you wish to cancel, and clicking on “Cancel Purchase” or “Cancel Subscription” as applicable. For certain Digital Features and Services, upon cancellation of your Digital Feature and Service purchase or subscription, the Digital Feature and Service will immediately be removed from your vehicle. For other Digital Features and Services, after cancellation of your Digital Feature and Service purchase or subscription, you must turn your vehicle ignition on and off in order for the Digital Feature and Service to be removed from the vehicle; the Digital Feature and Service will be removed from the vehicle after the vehicle ignition is turned off. Kia will provide such instructions to you on how to remove the Digital Feature and Service after cancellation of a Digital Feature and Service purchase or subscription, if applicable.

    G.

    Methods of Payment, Credit/Debit Card Terms and Taxes.  All payments must be made through your Visa,or Mastercard.  We currently do not accept Discover, American Express, cash, personal or business checks, or any other payment form, although in the future we may change this policy.  Your card issuer agreement governs your use of your designated card, and you must refer to that agreement and not these Terms to determine your rights and liabilities as a cardholder.  You represent and warrant that you will not use any credit/debit card or other form of payment unless you have all necessary legal authorization to do so.  YOU, AND NOT KIA, ARE RESPONSIBLE FOR PAYING ANY UNAUTHORIZED AMOUNTS BILLED TO YOUR CREDIT/DEBIT CARD BY A THIRD PARTY.  You agree to pay all fees and charges incurred in connection with your purchases (including any applicable taxes) at the rates in effect when the charges were incurred.  Unless you notify Kia of any discrepancies within sixty (60) days after they first appear on your credit/debit card statement, you agree that they will be deemed accepted by you for all purposes.  If Kia does not receive payment from your credit/debit card issuer or its agent, you agree to pay all amounts due upon demand by Kia or its agents.  Sales taxes, or other taxes, customs, import/export charges, or similar governmental charges are not included in the price of the products.  You are responsible for paying any such taxes or charges imposed on your purchases, including, but not limited to, sales, use, or value-added taxes, to the extent applicable.  Kia shall automatically charge and withhold the applicable tax for orders to be delivered to addresses within and any states or localities that it deems is required in accordance with our order policy in effect at the time of purchase. 

    H.

    Refund Policy.  All purchase transactions are subject to Kia’s return policy in effect at the time of purchase. 

    i.

    KIA CONNECT SERVICES Subscriptions: If you cancel your paid subscription package for KIA CONNECT SERVICES after the start of your Subscription Term but prior to the conclusion of your Subscription Term, we will refund you an amount equal to the unused portion of the remainder of your Subscription Term that has been paid to us in advance, the amount of which shall be calculated on a pro-rated basis based on the purchase price of your subscription package and the remaining unused amount left on your Subscription Term, less any applicable fees and taxes, unless otherwise stated in the specific offer for the subscription package that you accepted. Fees attributable to certain discounted promotional offerings paid during a discounted trial period may not be refunded.

    ii.

    Digital Features and Services Purchases or Subscriptions: Generally, if you cancel your paid purchase for an applicable Digital Feature and Service or subscription package for an applicable Digital Feature and Service after the start of your Subscription Term but prior to the conclusion of your Subscription Term, no refund is offered. However, if you purchase or subscribe to a specific Digital Feature and Service for the first time, you may cancel the purchase or subscription within the first seven (7) days after the purchase or first seven (7) days after the start of the Subscription Term and receive a full refund to your payment information on file. If you cancel the purchase or subscription after the first seven (7) days of initial purchase or after the first seven (7) days of the initial Subscription Term, you will not receive a refund for the purchase or subscription, except in Kia’s sole and absolute discretion. Please see Section 4(F)(ii) regarding removing the Digital Feature and Service from your vehicle after you cancel your Digital Feature and Service purchase or subscription.

    Kia reserves the right to refuse to provide a refund to you if you abuse our refund policy or are otherwise in breach of these Terms and certain services may not be subject to this refund policy, as noted in the service offering.

    I.

    Order Acceptance Policy.  Your receipt of an electronic or other form of order confirmation does not signify our acceptance of your order, nor does it constitute confirmation of our offer to sell.  Kia reserves the right at any time after receipt of your order to accept or decline your order for any reason.  Kia further reserves the right any time after receipt of your order, without prior notice to you, to supply less than the quantity you ordered of any item.  Your order will be deemed accepted by Kia upon our delivery of products or services that you have ordered.  We may require additional verifications or information before accepting any order. Notwithstanding the foregoing, you agree that, if we cancel all or a portion of your order or if we provide you less than the quantity you ordered, your sole and exclusive remedy is either that: (a) we will issue a credit to your credit/debit card account in the amount charged for the cancelled portion or the quantity not provided (if your credit/debit card has already been charged for the order); or (b) we will not charge your credit/debit card for the cancelled portion of the order or the quantity not provided.  Do not assume that a cancellation or change of an order you have placed with Kia has been effected until you receive a confirmation from Kia via email.  As stated above, you will be responsible for, and your credit/debit card or third-party payment account may be charged for, the payment of all fees associated with orders.   

    J.

    No Responsibility to Sell Mispriced Products or Services.  We do our best to describe every item, product, or service offered as accurately as possible.  However, we are human, and therefore we do not warrant that specifications or pricing is complete, accurate, reliable, current, or error-free.  In the event of any errors relating to the pricing or specifications of any item, product, or service, Kia shall have the right to refuse or cancel any orders in its sole discretion.  If we charged your credit/debit card or other account prior to cancellation, we will issue a credit to your account in the amount of the charge.  Additional terms may apply.  If a product you purchased from Kia is not as described, your sole remedy is to return it in unused condition, complete and undamaged, in the original packaging.

    K.

    Modifications to Prices or Billing Terms.  The purchase of products and services is subject to availability.  PRODUCTS AND SERVICES DISPLAYED ON THE KIA CONNECT SERVICES MAY NOT BE AVAILABLE AT ALL TIMES AND MAY BE SUBSTITUTED OR DISCONTINUED AT ANY TIME.  KIA RESERVES THE RIGHT, AT ANY TIME, TO CHANGE ITS PRICES AND BILLING METHODS FOR SERVICES SOLD, EFFECTIVE IMMEDIATELY UPON POSTING WHERE THESE TERMS ARE POSTED OR BY E-MAIL DELIVERY TO YOU.

  9. KIA CONNECT SERVICES CONTENT, OWNERSHIP, LIMITED LICENSE, AND RIGHTS OF OTHERS.

    A.

    Content. KIA CONNECT SERVICES contain a variety of: (i) materials and other items relating to Kia and its products and services, and similar items from our licensors and other third parties, including all layout, information, text, data, files, images, scripts, designs, graphics, button icons, instructions, illustrations, photographs, audio clips, music, sounds, pictures, videos, advertising copy, URLs, technology, software, interactive features, the “look and feel” of KIA CONNECT SERVICES, and the compilation, assembly, and arrangement of the materials of KIA CONNECT SERVICES and any and all copyrightable material (including source and object code); (ii) trademarks, logos, trade names, service marks, and trade identities of various parties, including those of Kia (collectively, “Trademarks”); and (iii) other forms of intellectual property (all of the foregoing, collectively, “Content”). 

    B.

    Ownership. KIA CONNECT SERVICES (including past, present, and future versions) and the Content are owned or controlled by Kia and our licensors and certain other third parties.  All right, title, and interest in and to the Content available via KIA CONNECT SERVICES is the property of Kia or our licensors or certain other third parties, and is protected by U.S. and international copyright, trademark, patent, or other intellectual property rights and laws to the fullest extent possible.  Kia owns the copyright in the selection, compilation, assembly, arrangement, and enhancement of the Content on KIA CONNECT SERVICES. 

    C.

    Limited License. Subject to your strict compliance with these Terms and the Additional Terms, including any required payment of a subscription fee pursuant to Section 4, Kia grants you a limited, non-exclusive, revocable, non-assignable, personal, and non-transferable license to download (temporary storage only), display, view, use, play, and/or print one copy of certain Content (excluding source and object code in raw form or otherwise, other than as made available to access and use via a standard web browser to enable display) on a personal computer, mobile phone, smartwatch or other wireless device, or other Internet enabled device (each, a “Device”) for your personal, non-commercial use only, to the maximum extent permitted by law.  The foregoing limited license: (i) does not give you any ownership of, or any other intellectual property interest in, any Content; and (ii) may be immediately suspended or terminated for any reason, in Kia’s sole discretion, and without advance notice or liability.  In some instances, we may permit you to have greater access to and use of Content, subject to certain Additional Terms, to the maximum extent permitted by law.  

    D.

    Rights of Others. In using KIA CONNECT SERVICES, you must respect the intellectual property and other rights of Kia and others.  Your unauthorized use of Content may violate copyright, trademark, privacy, publicity, communications, and other laws, and any such use may result in your personal liability, including potential criminal liability.  Kia respects the intellectual property rights of others.  If you believe that your work has been infringed by means of an improper posting or distribution of it via KIA CONNECT SERVICES, then please send us a message to let us know here.

  11. RESTRICTIONS ON USE OF KIA CONNECT SERVICES.

    A.

    KIA CONNECT SERVICES Use Restrictions. You agree that you will not: (i) use KIA CONNECT SERVICES for any political or commercial purpose; (ii) use any meta tags or any other “hidden text” utilizing any Kia Trademarks; (iii) engage in any activities through or in connection with KIA CONNECT SERVICES that seek to attempt to or do harm to any individuals or entities or are unlawful, offensive, obscene, lewd, lascivious, filthy, violent, threatening, harassing, or abusive, or that violate any right of any third party, or are otherwise objectionable to Kia; (iv) reverse engineer, decompile, disassemble, reverse assemble, or modify any of KIA CONNECT SERVICES source or object code or any software or other products, services, or processes accessible through any portion of KIA CONNECT SERVICES; (v) engage in any activity that interferes with a user’s access to KIA CONNECT SERVICES or the proper operation of KIA CONNECT SERVICES, or otherwise causes harm to KIA CONNECT SERVICES, Kia, or other users of KIA CONNECT SERVICES; (vi) interfere with or circumvent any security feature of KIA CONNECT SERVICES or any feature that restricts or enforces limitations on use of or access to KIA CONNECT SERVICES, including the Content; (vii) use KIA CONNECT SERVICES outside of the United States; or (viii) otherwise violate these Terms or any Additional Terms.

    B.

    Content Use Restrictions. You also agree that, in using the Content: (i) you will not monitor, gather, copy, or distribute such Content (except as may be a result of standard search engine activity or use of a standard browser) on KIA CONNECT SERVICES by using any robot, rover, “bot”, spider, scraper, crawler, spyware, engine, device, software, extraction tool, or any other automatic device, utility, or manual process of any kind; (ii) you will not frame or utilize framing techniques to enclose any such Content (including any images, text, or page layout); (iii) you will keep intact all trademark, copyright, and other intellectual property notices contained in such Content; (iv) you will not use such Content in a manner that suggests an unauthorized association with any of our or our licensors’ products, services, or brands; (v) you will not make any modifications to such Content; (vi) you will not modify, reproduce, archive, sell, lease, rent, exchange, create derivative works from, publish by hard copy or electronic means, publicly perform, display, disseminate, distribute, broadcast, retransmit, circulate to any third party or on any third-party application or website, or otherwise use or exploit such Content in any way for any purpose except as specifically permitted by these Terms or any Additional Terms or with the prior written consent of an officer of Kia or, in the case of Content from a licensor, the owner of the Content; and (vii) you will not insert any code or product to manipulate such Content in any way that adversely affects any user experience. 

    C.

    Availability of KIA CONNECT SERVICES and Content. Kia may immediately suspend or terminate the availability of some KIA CONNECT SERVICES and Content (and any elements and features of them) for any reason, in Kia’s sole discretion, and without advance notice or liability. 

    D.

    Reservation of All Rights Not Granted as to Content and KIA CONNECT SERVICES. These Terms and any Additional Terms include only narrow, limited grants of rights to Content and to use and access KIA CONNECT SERVICES.  No right or license may be construed, under any legal theory, by implication, estoppel, industry custom, or otherwise.  All rights not expressly granted to you are reserved by Kia and its licensors and other third parties.  Any unauthorized use of any Content or KIA CONNECT SERVICES for any purpose is prohibited.

  13. RESOLVING DISPUTES BY BINDING ARBITRATION

    MOST CUSTOMER CONCERNS CAN BE RESOLVED QUICKLY AND TO THE CUSTOMER'S SATISFACTION BY CALLING KIA CUSTOMER CARE TEAM AT 1-800-333-4KIA (4542). IN THE UNLIKELY EVENT THAT KIA CUSTOMER CARE TEAM IS UNABLE TO RESOLVE YOUR CONCERNS, WE EACH AGREE TO RESOLVE THOSE DISPUTES THROUGH BINDING ARBITRATION OR SMALL CLAIMS COURT INSTEAD OF IN COURTS OF GENERAL JURISDICTION TO THE FULLEST EXTENT PERMITTED BY LAW, AND SUBJECT TO THE TERMS OF THIS AGREEMENT. ARBITRATION IS MORE INFORMAL THAN A LAWSUIT IN COURT. ARBITRATION USES A NEUTRAL ARBITRATOR INSTEAD OF A JUDGE OR JURY, ALLOWS FOR MORE LIMITED DISCOVERY THAN IN COURT, AND IS SUBJECT TO VERY LIMITED REVIEW BY COURTS. ARBITRATORS CAN AWARD THE SAME DAMAGES AND RELIEF THAT A COURT CAN AWARD. ANY ARBITRATION UNDER THIS AGREEMENT WILL TAKE PLACE ON AN INDIVIDUAL BASIS TO THE MAXIMUM EXTENT PERMITTED BY LAW; CLASS ARBITRATIONS, CLASS ACTIONS, OR REPRESENTATIVE ARBITRATIONS ARE NOT PERMITTED. KIA WILL PAY ALL ADMINISTRATIVE COSTS OF THE ARBITRATOR, NO MATTER WHO WINS, SO LONG AS YOUR CLAIM IS NOT FRIVOLOUS OR BROUGHT IN BAD FAITH. HOWEVER, IN ARBITRATION, BOTH YOU AND KIA WILL BE ENTITLED TO RECOVER ATTORNEYS´ FEES FROM THE OTHER PARTY TO THE SAME EXTENT AS YOU WOULD BE IN COURT.

    A.

    Arbitration Agreement. Kia and you agree to arbitrate any and all disputes and claims between us arising out of or relating to the KIA CONNECT SERVICES, the KIA CONNECT SERVICES App, the KIA CONNECT SERVICES Hardware, your KOP Account, the Content, these Terms, any Additional Terms, your Vehicle, or any matters relating to or arising out of your Vehicle purchase, ownership, or lease, except any disputes or claims which under governing law are not subject to arbitration, to the maximum extent permitted by applicable law. This agreement to arbitrate is intended to be broadly interpreted and to make all disputes and claims between us subject to arbitration to the fullest extent permitted by law. However, any dispute you or we may have relating to copyrights or other intellectual property shall not be governed by this agreement to arbitrate. For the avoidance of doubt, this means that any claims you or we may have relating to intellectual property rights against the other, including injunctive and other relief sought, may be brought in a court of competent jurisdiction. The agreement to arbitrate otherwise includes, but is not limited to:

    claims based in contract, tort, warranty, statute, fraud, misrepresentation, or any other legal theory; claims that arose before this or any prior Terms (including, but not limited to, claims relating to advertising); claims that are currently the subject of purported class action litigation in which you are not a member of a certified class; claims relating to your Vehicle for which you seek product or service support; claims arising out of or relating to the Telephone Consumer Protection Act; claims relating to your data privacy or information security, including the collection and use of data about you or your Vehicle; and claims that may arise after the termination of the Terms.

    For purposes of this arbitration provision, references to "Kia," "you," and "us" shall include our respective parent entities, subsidiaries, affiliates, agents, employees, predecessors in interest, successors and assigns, websites of the foregoing, as well as all authorized or unauthorized users or beneficiaries of the KIA CONNECT SERVICES, products, or information provided or made available under this or prior Agreements between us relating to or arising from any aspect of your use or access of the KIA CONNECT SERVICES. Notwithstanding the foregoing, either party may bring an individual action in small claims court. You agree that, by entering into this Agreement, you and Kia are each waiving the right to a trial by jury or to participate in a class or representative action to the maximum extent permitted by law. This Agreement evidences a transaction in interstate commerce, and thus the Federal Arbitration Act governs the interpretation and enforcement of this arbitration provision. This arbitration provision shall survive termination of this Agreement or your relationship with Kia for any reason.

    B.

    Written Notice of Dispute. A party who intends to seek arbitration must first send to the other, by certified mail, a written Notice of Dispute (“Notice”). The Notice to Kia should be addressed to: Kia America, Inc., Attn: Legal Department - Arbitration, 111 Peters Canyon Road, Irvine, CA  92606 (the “Notice Address”'). The Notice must describe the nature and basis of the claim or dispute and set forth the specific relief you seek from Kia (the “Demand”'). If Kia and you do not reach an agreement to resolve the claim within 30 days after the Notice is received, you or Kia may commence an arbitration proceeding. During the arbitration, the amount of any settlement offer made by Kia or you shall not be disclosed to the arbitrator until after the arbitrator determines the amount, if any, to which you or Kia is entitled. In arbitration, and to the extent otherwise permitted by law, the parties may exchange “offers of compromise” or stipulate to judgments or awards in the same way the parties could in court, including for example, under California Code of Civil Procedure Section 998 for arbitrations taking place in California. Such offers of compromise shall have the same force and effect as they would in a court proceeding. The arbitration proceedings shall otherwise remain confidential, except for purposes of seeking court intervention (if necessary).

    C.

    Mass Arbitration. YOU AND KIA AGREE THAT IN THE EVENT THAT MASS ARBITRATION IS ATTEMPTED OR SOUGHT, SUCH ARBITRATION SHALL BE ADMINISTERED PURSUANT TO THE FOLLOWING RULES.

    For purposes of this Agreement, “Mass Arbitration” means 25 or more arbitration demands that: (i) are filed within 180 days of each other, (ii) allege similar or identical claims or causes of action, and (iii) either (a) the parties to those arbitration demands seek to simultaneously or collectively administer and/or arbitrate together, or (b) are filed by the same counsel or in coordination with each other.

    In the event that Mass Arbitration is attempted or sought involving 250 arbitration demands or less, you and Kia agree the arbitration provider shall: (i) group the arbitration demands into batches of no less than 25 arbitration demands per group; and (ii) provide for resolution of each group or batch as a single arbitration with one set of filing and administrative fees and a single arbitrator assigned per group or batch. In the event that Mass Arbitration is attempted or sought involving over 250 arbitration demands, you and Kia agree that the arbitration provider shall: (i) group the arbitration demands into batches of no less than 250 arbitration demands per group; and (ii) provide for resolution of each group or batch as a single arbitration with one set of filing and administrative fees and a single arbitrator assigned per group or batch. All Mass Arbitration shall be subject to all other substantive and procedural terms contained within this Agreement.

    You and Kia agree to cooperate in good faith with the arbitration provider to implement the aforementioned protocol for Mass Arbitration with regard to resolution, fees, and administration. To the extent a dispute arises regarding the administration of a Mass Arbitration, including, but not limited to, whether any conditions precedent have been satisfied or the advancement of fees, You and Kia agree to appointment of a Process Arbitrator pursuant to the Mass Arbitration Supplementary Rule of the American Arbitration Association ("AAA").

    If any part of this section 7(C) is found to be unenforceable, the unenforceable portion shall be stricken, and the remainder of this Section 7(C) and this Agreement shall be enforced to the maximum extent permitted by law.

    If the arbitration provider is unwilling or unable to follow the procedures set forth in this Section 7(C) with regard to Mass Arbitration, the parties may attempt to retain a different, mutually agreeable and widely-recognized arbitration organization that will agree to follow the procedures set forth in this this Section 7(C). In the event that the parties are unable to retain or agree to such an alternative arbitration provider, the alternative dispute resolution provisions set forth in these Terms shall not apply to those demands within the Mass Arbitration.

    If this specific Section 7(C) is found to be unenforceable in its entirety, then the entirety of this Section 7 arbitration provision shall be null and void. However, if only a portion of this Section 7(C) is found to be unenforceable, then the unenforceable portion of the provision shall be stricken, and the remainder of Section 7 enforced.  

    D.

    Filing Fees. After Kia receives Notice at the Notice Address that you have commenced arbitration, Kia will promptly reimburse you for your payment of the filing fee. The filing fee currently is $225, but is subject to change by the arbitration provider. The arbitration will be governed by the Consumer Arbitration Rules (the “AAA Rules”) of AAA, as modified by this Agreement, and will be administered by the AAA. The AAA Rules are available online at www.adr.org, by calling the AAA at 1-800-778-7879, or by writing to the Notice Address. The AAA Rules may change from time to time, and you should review them periodically.  

    All issues are for the arbitrator to decide, including the scope and enforceability of this arbitration provision as well as the Agreement´s other terms and conditions, and the arbitrator shall have exclusive authority to resolve any such dispute relating to the scope and enforceability of this arbitration provision or any other term of this Agreement including, but not limited to any claim that all or any part of this arbitration provision or Agreement is void or voidable. However if putative class or representative claims are initially brought by either party in a court of law, and a motion to compel arbitration is brought by any party in court, then the court shall decide whether this Agreement permits class proceedings. For the avoidance of doubt, the court and arbitrator shall be bound by the terms of this Agreement, including with regard to the class and representative waiver provision. In any arbitration, the arbitrator shall be bound by the terms of this Agreement and shall follow the applicable law. The arbitrator shall not have the power to commit manifest errors of law or legal reasoning, and any award rendered by the arbitrator that employs a manifest error of law or legal reasoning may be vacated or corrected by a court of competent jurisdiction for any such error. Unless Kia and you agree otherwise, any arbitration will be governed by the substantive laws of your state, and hearings will take place in the county (or parish) of your billing or registered address. Case management and other hearings shall be heard via telephone unless otherwise agreed to. Except as otherwise provided for herein, Kia will pay all AAA filing, administration, and arbitrator fees for any arbitration initiated in accordance with the notice requirements above. If, however, the arbitrator finds that either the substance of your claim or the relief sought in the Demand is frivolous or brought for an improper purpose (as measured by the standards set forth in Federal Rule of Civil Procedure 11(b)), then the payment of all such fees will be governed by the AAA Rules. In such case, you agree to reimburse Kia for all monies previously disbursed by it that are otherwise your obligation to pay under the AAA Rules.

    E.

    Discovery. Discovery and/or the exchange of non-privileged information relevant to the dispute will be governed by the AAA Rules.

    F.

     No Class Action Matters.  YOU AND KIA AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING TO THE MAXIMUM EXTENT PERMITTED BY LAW.  Further, unless both you and Kia agree otherwise, the arbitrator may not consolidate more than one person's claims, and may not otherwise preside over any form of a representative or class proceeding. The arbitrator may award injunctive relief only in favor of the individual party seeking relief and only to the extent necessary to provide relief warranted by that party's individual claim. If this specific subparagraph (e) is found to be unenforceable in its entirety, then the entirety of this arbitration provision shall be null and void. However, if only a portion of this subparagraph (e) is found to be unenforceable, then the unenforceable portion of the provision shall be stricken, and the remainder of subparagraph (e) enforced. Any claims or causes of action seeking relief not subject to individual arbitration under applicable law shall be stayed in a court of competent jurisdiction pending completion of individual arbitration to the maximum extent permitted by law.

    G.

    Jurisdictional Issues.  Except where arbitration is required above or with respect to the enforcement of any arbitration decision or award, any action or proceeding relating to any dispute arising hereunder may only be instituted in state or Federal court in Orange County, California.  Accordingly, you and Kia consent to the exclusive personal jurisdiction and venue of such courts for such matters.

  15. SPECIAL INFORMATION ABOUT SERVICE AND HARDWARE LIMITATIONS.

    A.

    Availability. KIA CONNECT SERVICES are only available in the fifty (50) United States and the District of Columbia. NOTWITHSTANDING THE PRIOR SENTENCE, KIA CONNECT SERVICES ARE CURRENTLY UNAVAILABLE IN CERTAIN MODEL YEAR 2022 AND NEWER VEHICLES THAT ARE PURCHASED OR SOLD IN MASSACHUSETTS. FOR PURPOSES OF THIS AGREEMENT, A VEHICLE IS “PURCHASED OR SOLD IN MASSACHUSETTS” IF: (A) EITHER THE SELLER/LESSOR OR THE BUYER/LESSEE OF THE VEHICLE IS LOCATED IN MASSACHUSETTS WHEN COMPLETING THE CONTRACT FOR SALE OR LEASE; (B) THE CONTRACT FOR SALE OR LEASE STATES THAT THE SALE OR LEASE OCCURRED IN MASSACHUSETTS; (C) THE VEHICLE IS DELIVERED TO THE BUYER OR LESSEE IN MASSACHUSETTS; OR (D) THE BUYER OR LESSEE IS REQUIRED TO PAY SALES TAX OR USE TAX IN MASSACHUSETTS. TO DETERMINE WHETHER A MODEL YEAR 2022 OR NEWER VEHICLE THAT WAS PURCHASED OR SOLD IN MASSACHUSETTS IS ELIGIBLE FOR KIA CONNECT SERVICES, PLEASE VISIT https://owners.kia.com/content/owners/en/kia-connect-updates.html. BY ENROLLING A MODEL YEAR 2022 OR NEWER VEHICLE IN KIA CONNECT SERVICES, YOU REPRESENT, WARRANT, AND CERTIFY THAT THE VEHICLE WAS NOT PURCHASED OR SOLD IN MASSACHUSSETTS, OR THAT THE VEHICLE WAS IDENTIFIED AS ELIGIBLE FOR KIA CONNECT SERVICES AT THE TIME OF ENROLLMENT ON https://owners.kia.com/content/owners/en/kia-connect-updates.html.

    Many of the KIA CONNECT SERVICES App’s key features work through your mobile Device’s wireless communication network, and other key features of KIA CONNECT SERVICES may work through an embedded modem, if your Vehicle is so equipped.  SOME FEATURES AVAILABLE THROUGH KIA CONNECT SERVICES MAY NOT BE AVAILABLE IF YOUR VEHICLE IS LOCATED IN REMOTE OR ENCLOSED AREAS OR IN AREAS WHERE THE FEATURES ARE PROHIBITED. ADDITIONALLY, SOME FEATURES AVAILABLE THROUGH THE KIA CONNECT SERVICES APP MAY NOT BE AVAILABLE IF YOUR DEVICE DOES NOT HAVE WIRELESS SERVICE, PARTICULARLY IN REMOTE OR ENCLOSED AREAS.  The area that you are driving in may affect the type or quality of service that we can provide to you through KIA CONNECT SERVICES.  There are other problems we cannot control that may prevent us from providing KIA CONNECT SERVICES to you at any particular time or place, or that may impair the quality of KIA CONNECT SERVICES.  Some examples are hills, tall buildings, tunnels, weather, damage to important parts of your Vehicle in an accident, or wireless network congestion or unavailability. 

    B.

    Maps and Navigation. If the KIA CONNECT SERVICES App interacts with any navigation capabilities included on your Vehicle, the routing, map, and point-of-interest data that we provide to you is based on the current map information available to us which may be provided by a third party such as through the incorporation of the Google Maps API, and may be inaccurate or incomplete.  For example, our routing, map, and point-of-interest data may not include information about one-way roads, turn restrictions, construction projects, seasonal roads, detours, new roads, or hours of operation.  It may suggest using a road that is now closed for construction or a turn that is prohibited by signs at the intersection.  In addition, traffic, weather, and other events may cause road conditions to differ from the results generated.  Therefore, you should always use good judgment, obey traffic and roadway laws and instructions, and evaluate whether it is safe and legal based on current traffic, weather, and other conditions to follow the directions and/or guidance provided.  Additionally, if you utilize the map or navigation functionality we make available through the KIA CONNECT SERVICES, you acknowledge and agree to be bound by the terms of service of the third party providing the service for your Vehicle, such as Google, Inc.’s Terms of Service (see: https://policies.google.com/terms?hl=en) or HERE Global B.V.’s Service Terms (see: https://legal.here.com/en-gb/terms).

    C.

    Outside Our Control. Kia is not responsible for any delay or failure in performance if such failure or delay could not have been prevented by reasonable precautions.  Additionally, Kia is not responsible if such failure or delay is caused by acts of nature, or forces or causes beyond our reasonable control.  Examples include public utility electrical failure, acts of war, government actions, terrorism, civil disturbances, labor shortages or difficulties (regardless of cause), or equipment failures including Internet, computer, telecommunication, or other equipment or technology failures.

    D.

    Software, Hardware, and Equipment Updates. Some portions of KIA CONNECT SERVICES such as the KIA CONNECT SERVICES App may include software that we may need to change from time to time.  We may do this remotely in various manners and potentially without notifying you first or through a push notification to your Device.  Such changes may affect or erase data you have stored in your KOP Account.  We are not responsible for any lost data.  You do not own KIA CONNECT SERVICES software or acquire any rights to use or modify KIA CONNECT SERVICES software on your own.  Your Vehicle’s KIA CONNECT SERVICES Hardware may also include software that Kia may need to change from time to time.  You agree to allow this to be done through a recall without cost to you.

  17. SPECIAL INFORMATION ABOUT CERTAIN SERVICES.

          Not all of these services may be available in your Vehicle, but if they are, the following applies:

    A.

    Crash Notification Assist. KIA CONNECT SERVICES may attempt to automatically connect you to certain Service Providers such as 911, the police, fire department, or ambulance service in the event of airbag deployment in your Vehicle, if your Vehicle is equipped with such a service.  In such an event, after a ten (10) second delay (during which time you have the option to cancel the call), KIA CONNECT SERVICES will use reasonable efforts to contact appropriate Service Providers to help you but it cannot be promised that any Service Providers will respond in a timely manner or at all.  The laws in some places require an emergency to be confirmed before emergency Service Providers will provide service.  If KIA CONNECT SERVICES connect you with a Service Provider, you or the occupants of your Vehicle may need to confirm that an emergency exists.  FOR CERTAIN VEHICLE MODELS AND/OR TRIMS WITHOUT AN EMBEDDED MODEM INSTALLED IN THE VEHICLE, YOUR MOBILE DEVICE MUST HAVE WIRELESS SERVICE AND YOUR MOBILE DEVICE MUST BE CONNECTED TO THE KIA CONNECT SERVICES HARDWARE IN ORDER FOR THE CRASH NOTIFICATION ASSIST FEATURE, IF AVAILABLE IN YOUR VEHICLE, TO OPERATE.

    B.

    Parking Minder and My Car Zone Features: Curfew Alert, Geo-Fence, & Speed Alert. Parking Minder and the My Car Zone features help you stay up to date on your Vehicle’s location and other Vehicle information while away from your Vehicle.  Through KIA CONNECT SERVICES Hardware, your KOP Account or the KIA CONNECT SERVICES App, you can opt through the settings we make available to use certain features such as the curfew alert, geo-fence and speed alert, if available for your Vehicle.  For example, curfew limits in terms of time stamps and GPS coordinates through geo-fencing (a predetermined area plotted in the navigation system) can be set.  If the Vehicle leaves that area or is used outside of predetermined hours, you will receive a detailed alert on your Device the next time you pair your Device with the Vehicle via Bluetooth® wireless technology or via USB cable, the next time you log into your KOP Account, and/or as defined by your notification preference in your KOP Account.  The speed alert function also allows you to set a predetermined maximum speed for your Vehicle, and, if exceeded, receive an alert next time you pair your Device with the Vehicle, log into your KOP account, and/or as defined by your notification preference in your KOP Account. You agree to inform other users and occupants of your Vehicle about KIA CONNECT SERVICES and system features (including information collected through KIA CONNECT SERVICES) and obtain their consent to collect information about their use of the Vehicle and take responsibility for their actions and their compliance with these Terms.  You agree to indemnify, defend, and hold us harmless for any failure of other users and occupants of your Vehicle to comply with these Terms.

    C.

    Content-Based Services. The information available via any content-based services (e.g., maps, navigation and guidance, POI search and download, traffic, charging station location data available in connection with Kia electric vehicles, speed camera, or red light camera location data) available for your Vehicle is limited to that information which is available in the databases of the Service Providers selected by us, which may or may not be complete or accurate at all times.  Use common sense when relying on information provided.  For example, KIA CONNECT SERVICES for certain electric and plug-in hybrid Vehicles may offer functionality that allows a user to find a charging station.  However, the availability and accuracy of the information provided are dependent upon many factors.  You should check the availability of any charging station you plan to utilize before you begin your trip.  Kia is not responsible or liable for any claims, damages, or liability in the event you do not have the most current or accurate information available and/or are unable to reach a charging station and you are stranded for any reason. Moreover, speed camera, or red light camera location data is provided for informational use only, and you should obey all traffic laws when operating your Vehicle.

    D.

    Location Sharing. You understand that when KIA CONNECT SERVICES are active in your Vehicle, your Vehicle’s location information may be sent to all persons/Devices you have designated in your preferences via KIA CONNECT SERVICES, if available for your Vehicle, and you consent to the delivery and sharing of such location information.

    E.

    Diagnostic Information/Maintenance Alerts. If KIA CONNECT SERVICES identifies an issue through its automatic diagnostics function, if available for your Vehicle, it will communicate your Vehicle’s issue and location to the Kia Customer Care Center team or recommend that you schedule an appointment with a Kia dealership.  Additionally, through KIA CONNECT SERVICES Hardware, your KOP Account, or the KIA CONNECT SERVICES App, you may be able to opt through the settings to run manual or regularly scheduled diagnostic tests of your Vehicle (e.g., once a month).  Your Vehicle may only send diagnostic trouble codes to KIA CONNECT SERVICES that result in a dashboard warning light.  In some instances, multiple codes may be generated for the same occurrence.  The current diagnostic status of your Vehicle presented online and in your monthly vehicle report may be delayed.  You should visit a qualified repair facility for a complete and current diagnostic status of your Vehicle.  You authorize Kia to maintain and send diagnostic information to Kia dealers.  This service is provided to you as a courtesy for your convenience only and the Vehicle owner is responsible for maintaining the Vehicle in accordance with the schedule published in the owner’s manual.  

    F.

    Connected Profiles. Certain Vehicles with embedded modems have a Connected Profiles feature, which allows multiple users to program preferences into the Vehicle head unit, such as radio presets and other preferences, and which allows the Vehicle owner to share the Vehicle with additional drivers designated in the owner’s KOP Account. To use this driver share feature, the owner that has registered the Vehicle to his or her KOP Account can invite secondary drivers by inputting a secondary driver’s email in the “Add Driver” section in the KOP Account, either on the website or in the KIA CONNECT SERVICES App. The invited secondary driver will be sent an email directing him or her to register as a secondary driver for the Vehicle within the secondary driver’s own KOP Account. Both the owner and the secondary driver must agree to these Terms to use the Connected Profiles secondary driver share feature. While an owner may approve multiple secondary drivers on his or her KOP Account, only one secondary driver may be designated as the Vehicle user at any given time. The Vehicle owner controls which approved secondary driver may have access to the Vehicle, and may revoke access of any secondary driver at any time by unlinking or deleting the secondary driver from the owner’s KOP Account. Moreover, the Vehicle owner controls which KIA CONNECT SERVICES the secondary driver will be allowed to use, such as the My Car Zone Features and the Schedules for automatic remote start and charging, if available on the Vehicle.

    If you are participating in the Connected Profiles secondary driver share feature, either as an owner or secondary driver, you consent to the sharing of Vehicle data, including geolocation information, trip information, schedules for remote start and charging (if available), other driver behavior information, and data related to the KIA CONNECT SERVICES used, between the owner and the secondary driver, and as otherwise described in the KIA CONNECT SERVICES Privacy Policy. If you participate in this feature as a secondary driver, you understand that data related to your use of the Vehicle will be available to the Vehicle owner on his or her KOP Account, and you consent to such sharing. You further understand that, as a secondary driver, you may not have access to data related to the owner’s use of the Vehicle, and that the owner may not grant you access to all KIA CONNECT SERVICES available for the Vehicle. If you are a secondary driver and wish to end your participation in the secondary driver share feature, you may delete the Vehicle from your KOP Account; however, the Vehicle owner will still have access to the shared data generated when you used the Vehicle. If you are an owner and wish to end your participation in the secondary driver share feature, you may unlink or delete all secondary drivers. Owners and secondary drivers may also call the Kia Connect Call Center for assistance at 1-844-886-9411.

    G.

    In-Vehicle Notification Center. Certain Vehicles with embedded modems have an in-vehicle notification center, which allows you to receive and review important notices from us on your Vehicle head unit, such as messages related to recalls, safety campaigns, offers, or other product communications. When new in-vehicle notifications are available, your Vehicle will display a new notice message and ask if you want to view the notice. You must select “yes” or “no” to close the new notice message. Selecting “yes” will close the new notice message and display the inbox where in-vehicle notifications can be viewed; selecting “no” will close the new notice message without displaying the inbox, though you can later view the in-vehicle notification in the inbox by navigating to the notification feature through the head unit menu. Notices are not available to view while the Vehicle is in motion. If you receive a new notice message while the Vehicle is in motion, do not attempt to read it until the Vehicle is parked. You can delete in-vehicle notifications from the inbox in your Vehicle. You can limit the types of non-critical notifications you wish to receive in your Vehicle by visiting the Customer Preference Center section in your KOP Account. Critical notifications related to recalls may not be turned off.

    H.

    360 View. Certain Vehicles have a 360 View feature, which allows you to check the area around your Vehicle without physically being there by remotely opening the mirrors on your Vehicle and capturing photographic images from the mirrors on all four sides of the Vehicle, along with a birdseye view. You may take up to five (5) images per day and view up to ten (10) images in your KOP Account, though you should save any images you wish to keep onto your own devices, as Kia may delete the images on a six (6) month or other cycle or if you unenroll the Vehicle from KIA CONNECT SERVICES. You should not use this feature if your Vehicle is covered or if you are parked in close proximity to other vehicles or objects, such as walls, as your mirrors may collide with such objects when opening. Use of the 360 View feature is at your own risk and may not be available in all locations. Kia is not responsible for any damage to your Vehicle or damage you may cause from use of this feature, such as if you strike an object while opening your mirrors.

    I.

    Connected Routing. Certain Vehicles with embedded modems have a connected routing feature, which uses real-time and historical traffic data to identify the most likely efficient route from the Vehicle’s current location to the requested destination. The feature will utilize an internet connection, if available, or may use radio signal to monitor traffic conditions. If neither internet nor appropriate radio signal is available, the feature will not work and the Vehicle will use its standard onboard map and navigation features in lieu of drive time optimization routing. Because this feature relies on a combination of real-time and historic traffic data, and because traffic conditions can suddenly change in real time, it may not always provide the quickest way to the requested destination.

    J.

    Last Mile Navigation. Certain Vehicles with embedded modems have a last mile navigation feature that allows you to get the remaining directions to your requested destination on your mobile Device if you have parked your Vehicle between six-tenths (0.6) kilometers and two (2) kilometers of the requested destination. For instance, if you request directions to a particular address in your Vehicle but park within this range of the address, this feature will send an alert in the KIA CONNECT SERVICES App on your mobile Device when the ignition is turned off so that you can use your mobile Device to navigate the rest of the way to the destination. The KIA CONNECT SERVICES App will display a push notification and provide the option to navigate to the requested destination on your mobile Device’s default map and navigation app. For this feature to work, you must have an applicable KIA CONNECT SERVICES App installed on your mobile Device with push notifications enabled. You can turn this feature on or off in the KIA CONNECT SERVICES App or in your KOP Account. If you have this feature turned on, you must notify any other drivers of your Vehicle that you may be notified of the requested destination entered by the driver. This feature is a Wireless Feature (as defined in Section 13) and is subject to the terms in Section 13.

    K.

    Stolen Vehicle Recovery and Vehicle Immobilization.  Certain Vehicles with embedded modems are eligible for the Stolen Vehicle Recovery and Vehicle Immobilization features. If your Vehicle has this capability and is enrolled in the appropriate KIA CONNECT SERVICES package, we can try to locate your Vehicle if it is stolen. Before we try to locate it, you must file a stolen vehicle police report with the local law enforcement authorities and be able to verify your identity to us. You must submit a copy of the police report or police report number to us, and we will verify with the local authorities that they are investigating the matter as a stolen Vehicle, and we will open a stolen vehicle recovery case. We will try to locate your Vehicle for up to fifteen (15) days beginning from the time you first report it to us as stolen, and will close the case if it is not recovered by that time, or if you or the police otherwise advise us that the Vehicle has been recovered. We cannot guarantee that we will locate your Vehicle. For your safety and the safety of others, we will only provide information about the location of your Vehicle to the police. Other KIA CONNECT SERVICES features will be unavailable while your stolen vehicle recovery case is open; we will restore the other KIA CONNECT SERVICES to your Vehicle if it is recovered, or we will cancel KIA CONNECT SERVICES in the Vehicle if it is not recovered when we close the case. We are not required to try to find your Vehicle for the purpose of locating a person. We will not provide the Stolen Vehicle Recovery service for your Vehicle to an unauthorized third party, which means anyone other than the consumer whose name is on the KIA CONNECT SERVICES account, a government entity pursuant to a valid court order or other official governmental action, or one of our affiliates in connection with the leasing or financing of your Vehicle. If your Vehicle also has Vehicle Immobilization capability, we may immobilize your Vehicle in the event it is stolen and law enforcement requests immobilization in their recovery efforts. You acknowledge and agree that we are not responsible for any damage to your Vehicle that occurs while it is stolen or while we are assisting in the recovery through the Stolen Vehicle Recovery and Vehicle Immobilization features. Stolen Vehicle Recovery and Vehicle Immobilization may not be available in situations where the vehicle was not subscribed to the applicable KIA CONNECT SERVICES package at the time the vehicle was stolen and may not be available due to conditions outside of our control as described in Section 8 above.

    L.

    Digital Features and Services. “Digital Features and Services” (which may include Premium Data Services and Wi-Fi Hotspot, Boost, Lighting Patterns, Remote Smart Parking Assist 2, and Display Themes) may vary by model, model year, and trim level. Features, specifications, and fees are subject to change. KIA CONNECT SERVICES subscription may be required to access and utilize Digital Features and Services; certain Digital Features and Services may be bundled. Any complimentary KIA CONNECT SERVICES subscription may not include all available features and services. Digital Features and Services may be currently unavailable for Vehicles purchased or sold in Massachusetts that are not eligible for Kia Connect Services. Only use Digital Features and Services when safe to do so. Features, specifications, and fees are subject to change. We reserve the right to change or discontinue any Digital Features and Services at any time without prior notification or incurring any future obligation.

    i.

    Premium Data Services and Wi-Fi Hotspot. Certain Model Year 2022 and newer Vehicles with embedded modems come equipped with Premium Data Services capabilities, including Wi-Fi Hotspot capability, which allows you to connect up to five (5) Wi-Fi enabled mobile devices to check email, download photos, stream music, and more, and in certain Vehicles, an in-vehicle music streaming feature. The Wi-Fi Hotspot uses Verizon’s 4G LTE network to transmit data. To use Kia’s Premium Data Services, including Wi-Fi Hotspot, you must have an active KIA CONNECT SERVICES subscription and an applicable data plan through Verizon.

    We are currently partnering with Verizon to provide eligible Vehicles with a free trial of Wi-Fi Hotspot, which runs for three (3) months or three (3) GB of data, whichever comes first. In addition to the free trial of the Wi-Fi Hotspot, owners of Vehicles equipped with Kia’s ccNC operating system can also enjoy the in-vehicle music streaming feature. Only one free trial will be provided per Vehicle. Use of the Wi-Fi Hotspot is subject to Verizon’s Customer Agreement, Privacy Policy, and data use policies, and use of the in-vehicle music streaming feature is subject to the music streaming provider’s applicable terms and conditions. Certain services may collect certain information. Amazon Music subscription required. You understand and agree that we are not an internet service provider and do not sell data plans.

    .

    ccNC-Equipped Vehicles. In order to receive the free trial of Kia’s Premium Data Services, owners of ccNC-equipped Vehicles must first enroll in KIA CONNECT SERVICES and can only activate the free trial of the Wi-Fi Hotspot and in-vehicle music streaming feature by opting in through the Kia Connect Store. After the free trial ends, continued use of the Wi-Fi Hotspot and/or the in-vehicle music streaming feature will require you to purchase a data plan from Verizon through the Kia Connect Store, which will be subject to Verizon’s terms and conditions.

    .

    Non-ccNC Equipped Vehicles. For all other eligible customers, the free trial of the Wi-Fi Hotspot will be initiated as soon as an eligible Vehicle is enrolled in KIA CONNECT SERVICES. After this trial ends, continued use of the Wi-Fi Hotspot feature will require you to purchase a data plan directly from Verizon, subject to Verizon’s terms and conditions.

    By enrolling an eligible Vehicle in KIA CONNECT SERVICES, you are directing us to provide information about you and your Vehicle to Verizon so that this service can be fulfilled, and so Verizon can contact you about continued use of the Wi-Fi Hotspot feature, including for marketing purposes.

    To use the Wi-Fi Hotspot feature, your Vehicle must be running or in accessory mode. You agree not to drive while distracted, and understand that while the Vehicle is moving, Wi-Fi Hotspot is intended for passengers to use. You agree not to use or permit the use of the Wi-Fi Hotspot, including any trial plan, for any unlawful purpose. Data usage applies, and data speed and storage depend on package purchased. Coverage is not available everywhere. See https://www.verizon.com/coverage-map for coverage map. Wi-Fi Hotspot services require vehicle cellular connectivity and availability of vehicle GPS signal. We are not responsible for any connectivity issues you may experience with your Wi-Fi Hotspot. Amazon, Amazon Music, and all related logos are trademarks of Amazon.com, Inc. or its affiliates.

    ii.

    Boost “Boost” is designed to increase your motor's torque and deliver stronger acceleration. Boost is currently only available in EV9 Wind AWD and Land AWD and standard in EV9 GTL AWD. To obtain and use the available Boost feature, you must purchase Boost. More information about Boost can be found here. Once purchased, after the expiration of any refund or trial period offered, Boost is not refundable and will remain with the Vehicle for the lifetime of the Vehicle. Actual results may vary depending on options, driving conditions, driving habits, and your Vehicle's condition. See Owner’s Manual for further details and important limitations. Always drive safely and obey all traffic laws.

    iii.

    Lighting Patterns "Lighting Patterns” apply to your headlights and may welcome you as you approach your vehicle. Lighting Patterns availability and features may vary by model, model year, and trim level. Lighting Patterns are currently only available in EV9 Land AWD and GTL AWD; however, Lighting Patterns are not available in Vehicles with matte paint. Lighting Patterns operate only when taillights are activated. To obtain and use the available Lighting Patterns feature, you must purchase Lighting Patterns. More information about Lighting Patterns can be found here. Once purchased, after the expiration of any refund or trial period offered, the Lighting Patterns feature is not refundable and will remain with the Vehicle for the lifetime of the Vehicle.

    iv.

    Remote Smart Parking Assist 2 “Remote Smart Parking Assist 2” helps you navigate parallel, perpendicular, or diagonal parking spaces. Remote Smart Parking Assist 2 is available in EV9 Land AWD and standard in EV9 GTL AWD. To obtain and use the available Remote Smart Parking Assist 2 feature, you must purchase access to utilize Remote Smart Parking Assist 2. Remote Smart Parking Assist 2 is available to purchase via a subscription or you can purchase it one-time and use the feature for the lifetime of the Vehicle. More information about Remote Smart Parking Assist 2 can be found here. Unless you purchase a monthly or annual subscription to Remote Smart Parking Assist, after the expiration of any refund or trial period offered, Remote Smart Parking Assist is not refundable and will remain with the Vehicle for the lifetime of the Vehicle. Remote Smart Parking Assist 2 requires driver engagement and may not detect all objects around the Vehicle. Remote Smart Parking Assist 2 uses sensors which may be located on your front, rear, and sides of the Vehicle. Locations of these sensors vary by Vehicle, so consult your Vehicle’s Owner’s Manual to see where they’re located. Remote Smart Parking Assist 2 is not designed to detect all children, pedestrians, bicyclists, animals or objects below the bumper. You should remember to always check the area around the Vehicle before backing up and make sure the ultrasonic Park Assist sensors are clean as well. Safety or driver assistance features are no substitute for the driver’s responsibility to operate the Vehicle in a safe manner. You should remain attentive to traffic, surroundings, and road conditions at all times. Visibility, weather, and road conditions may affect feature performance. Please see the Owner’s Manual for limitations, warnings, and instructions.

    v.

    Display Themes “Display Themes” add personality to your Vehicle infotainment system and may include certain welcome/goodbye sounds for select Vehicles. Display Themes are available in all EV9 trims and all Sorento trims other than LX, and, once a Display Theme is purchased, certain welcome/goodbye sounds may be available for download for adding to the following Vehicles: (1) EV9 Land AWD, (2) EV9 GTL AWD, and (3) any EV9 Vehicle equipped with Meridian Premium Audio Systems/14 Speakers that wasn’t purchased after market. To obtain and use the available Display Themes feature, you must purchase Display Themes and download them to your KOP Account, some of which are licensed from the National Basketball Association("NBA"). More information about Display Themes can be found here.Once purchased, after the expiration of any refund or trial period offered, Display Themes are not refundable and will remain with the Vehicle for the lifetime of the Vehicle. Display Themes are licensed to you on a limited, non-exclusive basis and are subject to terms and conditions set forth in third party-terms who own the content or sounds (as applicable). As between you and Kia, any and all intellectual property rights in the Display Themes sold will remain the sole and exclusive property of Kia or its licensors. Kia and/or its licensors retains the entire right, title, and interest in and to any and all intellectual property rights in the Digital Themes, including, but not limited to, all trade secret, patent, copyright, and trademark rights associated with the Display Themes. Once purchased, Display Themes are limited to use on the specific Vehicle tied to purchase and cannot be transferred to other vehicles or third parties, and, after the expiration of any trial period, remain with the Vehicle for the lifetime of the Vehicle. You may not copy or modify the Display Themes without the prior written approval of Kia. Distracted driving can result in a loss of Vehicle control. When operating a Vehicle, never use a vehicle system that takes your focus away from safe Vehicle operation.

    You acknowledge that Kia, and not the NBA, is responsible for providing and selling the Display Themes to you. To the maximum extent permitted by applicable law, NBA will have no obligation whatsoever with respect to the provision of Display Themes. If you purchase a Display Theme from Kia, you agree to release, discharge, indemnify, and hold harmless NBA Properties, Inc., NBA Media Ventures, LLC, NBA TV, LLC, the National Basketball Association, the NBA teams, and each of their respective affiliates, subsidiaries, related entities, directors, governors, owners, agents, and employees (collectively, the “NBA Parties”), from and against any and all claims, liability, costs (including attorneys’ fees), losses, damages, fines, or injuries (up to and including bodily injury and death or any other person’s vehicle or other property, or to their persons) of any kind arising out of or related to your downloading and use of any Display Themes. You agree not to sue or otherwise attempt to try and hold the NBA Parties responsible should you have any issues or problems with a Display Theme.

    M.

    Kia Digital Key. Certain Model Year 2023 and newer vehicles with embedded modems are eligible for a "Kia Digital Key", which lets you use your compatible Apple smartphone, Samsung smartphone,Google Pixel smartphone, or Apple smartwatch as a key to access, start, and drive your Kia. To utilize a Kia Digital Key, you must first complete the activation process, follow the instructions to pair your Device, and then follow the instructions in your local device wallet app. You can share digital keys easily and remotely with a limited number of family and friends while controlling the level of access they have to your Vehicle through your local Device wallet app. To activate Kia Digital Key and manage the digital keys, your Device must have an active data plan with a wireless service provider. Accounts with wireless service providers are your responsibility, and not the responsibility of Kia. Depending on your data plan, you may incur charges from your wireless service provider for use of their network and/or for specific services, for example, making phone calls, sending or receiving text messages and/or emails, or other services. You are solely responsible for any and all costs incurred as a result of the use of this feature.

    YOU ARE SOLELY RESPONSIBLE FOR ANY USE OF KIA DIGITAL KEY IN YOUR VEHICLE, EVEN IF YOU ARE NOT THE ONE USING IT, AND EVEN IF YOU LATER CLAIM THE USE WAS NOT AUTHORIZED. YOU ARE ALSO SOLELY RESPONSIBLE FOR THE SERVICES REQUESTED BY YOU, OR BY ANYONE USING OR OCCUPYING YOUR VEHICLE, THROUGH THE DIGITAL KEY SERVICES. You promise to educate and inform all users and occupants of your Vehicle about the Kia Digital Key services, system features and limitations, and these Terms of Service. We have no obligation to inquire about the authority of anyone using your Vehicle. If you, another driver or a passenger of your Vehicle uses Kia Digital Key services to commit a crime or for another improper purpose or if such other driver or occupant of your Vehicle disputes Kia’s collection and use of information as permitted in these Terms of Service and the Kia Connect Privacy Policy, you agree to indemnify, defend, and hold Kia harmless from and against any and all costs, expenses (including attorneys’ fees), losses, damages, and other liabilities which arise from such improper use.

    N.

    Driving Score and UBI Program. Certain vehicles with embedded modems are eligible to receive a Driving Score, a numerical rating that reflects driving behavior in the Vehicle and is calculated based on certain driving data categories. Once you receive your Driving Score, you may be presented with the option to enroll and participate in the Usage-Based Insurance (UBI) Program where your Driving Score and other information may be shared with third-party insurance providers to receive potential savings offers for auto insurance premiums. You understand that when Driving Score is active in your Vehicle, certain Vehicle information, including but not limited to, your Vehicle Identification Number (VIN), ignition on/off details, trip ID, total trip seconds, latitude, longitude, odometer, speed in kph, driver seatbelt signal, left and right turn signals, average trip speed, hard braking events, highway speeding events, date, and time of day, may be sent to our third-party data providers in order to calculate your Driving Score. Therefore, by enrolling an eligible Vehicle in KIA CONNECT SERVICES, you are directing us to provide information about you and your Vehicle to our third-party data providers so that this service can be fulfilled, and you consent to the delivery and sharing of such Vehicle and other information under these Terms. If you would like to disable the Driving Score feature(or reactivate the feature after it has been disabled), you may do so by contacting the Kia Connect Call Center at 1-844-886-9411.

    You accept all responsibility and liability for your use of the Driving Score, including if you choose to disclose or share it with others. If you activate, receive, use, accept or otherwise access the UBI Program, you accept and agree to be bound by these Terms and the UBI Program Terms of Service, and by enrolling in Kia's optional UBI Program, you are directing us to provide information about you and your Vehicle to our third-party data providers so that the service can be fulfilled and so that our third-party data providers may share Vehicle and other information with third-party insurance providers. Please note that, even if you receive a Driving Score for your informational purposes, the UBI Program may not be available in your area of the United States.     O.

    Kia Connect Store. Certain vehicles with embedded modems are eligible to purchase specific features on demand through the Kia Connect Store, which is accessible through your KOP Account. The Kia Connect Store is available on a designated page which may offer products, applications, or services from time to time. Additional terms and conditions may apply as set forth as part of the product, application, or service specifications. Additionally, select in-vehicle apps may require an active service plan to access content and/or services as part of its designed operation. Use of the Kia Connect Store requires Internet access (fees may apply); may require periodic updates; and may be affected by the performance of these factors. You agree that meeting these requirements, which may change from time to time, is your responsibility. We reserve the right to change content options (including eligibility for particular features) without notice. Certain features, products, applications, or services may not be available in specific vehicles and trims, and may not be available in all locations or jurisdictions. Unless otherwise set forth in the Kia Connect Store, subscription terms referenced in these Terms of Service will apply to downloads or purchases in the Kia Connect Store.

    P.

    Over-the-Air Software Updates. For owners of the Kia EV9 and other ccNC-equipped vehicles (Model Year 2024 and newer), you will be able to update certain controllers in your car via over-the-air software updates. This new feature allows us to remotely perform certain recall repairs, safety campaigns, and enhancements on eligible Vehicles, thus allowing you to avoid having to bring your Vehicle into a dealer for such services. Even if your Vehicle comes equipped with this offering, you still have the option to bring your Vehicle into a dealer, if you so choose.     Q.

    Point-of-Interest Search. Certain Vehicles with embedded modems have a point-of-interest search capability, which is powered by Google or HERE and provides real-time data about points-of-interest through the Vehicle’s navigation system. The feature will utilize an internet connection, if available. If internet is not available, the feature will use its standard onboard map and navigation features only.

    R.

    Interactive Voice Control Features. Certain Vehicles with embedded modems come equipped with voice command capabilities that allow you to use voice commands to control various in-car functions. For example, you can ask the Vehicle how to pair your phone, to recommend a trip, to change the temperature, and to make a phone call. This feature may integrate products or services that use artificial intelligence tools. Certain commands may require an internet connection to work, and we make no guarantee that the functionality or content is accurate, reliable, always available, or complete. YOU RELEASE KIA FROM AND AGAINST ANY AND ALL CLAIMS, LIABILITIES, AND LOSSES THAT MAY RESULT FROM ANY SUCH USE OF INTERACTIVE VOICE CONTROL FEATURES OR RELIANCE ON CONTENT PRODUCED BY THE TECHNOLOGY.

    S.

    Charge Pass Program. Certain battery electric Vehicles will be eligible to participate in the Kia Charge Pass Program, which allows you to locate public charging stations within the ChargePoint Inc. (“ChargePoint”) charging network, and initiate and pay for charging sessions from within the Kia Access application or your KOP Account. To participate in the Charge Pass Program, you must have an active KIA CONNECT SERVICES subscription, and a default payment method to cover costs associated with your Vehicle’s charging sessions. Additional fees may apply, including if you upgrade your plan. For additional information, click here. Use of electric vehicle chargers operated by ChargePoint is governed by the ChargePoint Terms of Service and Privacy Policy. By enrolling in the Kia Charge Pass Program, you are directing us to provide information about you and your Vehicle to ChargePoint.

  19. YOUR RESPONSIBILITIES.

    A.

    Passwords/PINs. You promise to be fully responsible for the protection of your password/PINs.  Anyone who has access to your password or PINs may be able to access KIA CONNECT SERVICES and your KOP Account, and we have no responsibility for nor obligation to inquire about the authority of anyone using your password/PINs or other information that can be used to identify your KOP Account to request KIA CONNECT SERVICES for your Vehicle.

    B.

    Proper Use of KIA CONNECT SERVICES. You are responsible for ensuring safety and compliance with all regulations, ordinances and other laws applicable to your Vehicle.  You promise to use emergency services only for actual emergencies.  You promise not to use KIA CONNECT SERVICES for any fraudulent, unlawful, or abusive purpose, or in any way that is not described in materials provided by us to you or that interferes with our, or our Service Providers’, provision of services to you or to our other customers.  You promise you will not abuse or do anything to damage our business operations, services, reputation, employees, or facilities.  If you do any of these things, you agree to indemnify, defend, and hold us harmless from and against any and all costs, expenses (including attorneys’ fees), losses, damages, and other liabilities which arise from or in connection with a claim or demand that any third party makes against us, which results, in whole or in part, from that use or misuse, or your actions or failure to act.

    C.

    Other Users/Occupants of Your Vehicle. YOU ARE SOLELY RESPONSIBLE FOR ANY USE OF KIA CONNECT SERVICES IN YOUR VEHICLE, EVEN IF YOU ARE NOT THE ONE USING IT, AND EVEN IF YOU LATER CLAIM THE USE WAS NOT AUTHORIZED.  YOU ARE ALSO SOLELY RESPONSIBLE FOR THE SERVICES REQUESTED BY YOU, OR BY ANYONE USING YOUR VEHICLE.  You will take efforts to educate and inform all users and occupants of your Vehicle about KIA CONNECT SERVICES and its features and limitations.  We have no obligation to inquire about the authority of anyone using your Vehicle.  If you, another driver, or a passenger of your Vehicle, uses KIA CONNECT SERVICES to commit a crime or for another improper purpose, you agree to indemnify, defend, and hold Kia harmless from and against any and all costs, expenses (including attorneys’ fees), losses, damages, and other liabilities which arise from such improper use.

  21. LINKS BY YOU TO KIA CONNECT SERVICES. We grant you a limited, non-exclusive, revocable, non-assignable, personal, and non-transferable license to create hyperlinks to the websites that are a part of KIA CONNECT SERVICES, so long as: (a) the links only incorporate text, and do not use any trademarked logos or graphics that are owned by or licensed to Kia, (b) the links and the content on your website do not suggest any affiliation with Kia or cause any other confusion, and (c) the links and the content on your website do not portray Kia or its products or services in a false, misleading, derogatory, or otherwise offensive matter, and do not contain content that is unlawful, offensive, obscene, lewd, lascivious, filthy, violent, threatening, harassing, or abusive, or that violate any right of any third party or are otherwise objectionable to Kia. Kia reserves the right to suspend or prohibit linking to KIA CONNECT SERVICES for any reason, in its sole discretion, without advance notice or any liability of any kind to you or any third party.

  23. LINKED SITES; ADVERTISEMENTS; DEALINGS WITH THIRD PARTIES.

    A.

    Linked Sites; Advertisements. KIA CONNECT SERVICES may contain links, as part of third-party ads on KIA CONNECT SERVICES or otherwise, to or from third-party websites (“Linked Sites”), including websites operated by advertisers, licensors, licensees, and certain other third parties who may have business relationships with Kia. Kia may have no control over the content, operations, policies, terms, or other elements of Linked Sites or advertisements available through KIA CONNECT SERVICES, and Kia does not assume any obligation to review any Linked Sites or third party advertisements. Kia does not endorse, approve, or sponsor any Linked Sites, or any third-party content, advertising, information, materials, products, services, or other items. Furthermore, Kia is not responsible for the quality or delivery of the products or services offered, accessed, obtained by, or advertised at such Linked Sites or advertisements. Finally, Kia will under no circumstances be liable for any direct, indirect, incidental, or special loss or other damage, whether arising from negligence, breach of contract, defamation, or infringement of copyright or other intellectual property rights, caused by the exhibition, distribution, or exploitation of any information or content contained within these third-party Linked Sites or advertisements. Any activities you engage in connection with any of the same are subject to the privacy and other policies, terms and conditions of use, and rules issued by the operator of the Linked Sites. Kia disclaims all liability in connection therewith.

    B.

    Dealings with Third Parties. Any interactions, correspondence, transactions, and other dealings that you have with any third parties found on or through KIA CONNECT SERVICES (including on or via Linked Sites or advertisements) are solely between you and the third party, including issues related to the content of third-party advertisements, payments, delivery of goods, warranties (including product warranties), privacy and data security, and the like. Kia disclaims all liability in connection therewith.

  25. WIRELESS AND LOCATION-BASED FEATURES.

    A.

    Wireless Features. KIA CONNECT SERVICES may offer many features and services that are available to you via your wireless mobile Device. These features and services may include the ability to access KIA CONNECT SERVICES’ features and upload content to KIA CONNECT SERVICES, receive messages from KIA CONNECT SERVICES, and download applications to your wireless Device (collectively, “Wireless Features”). Standard messaging, data, and other fees will be charged by your carrier to participate in Wireless Features. Fees and charges may appear on your wireless bill or be deducted from your pre-paid balance. Your carrier may prohibit or restrict certain Wireless Features and certain Wireless Features may be incompatible with your carrier or wireless Device. You should check with your carrier to find out what plans are available and how much they cost. Contact your carrier with questions regarding these issues.

    B.

    Terms of Wireless Features. You agree that as to the Wireless Features for which you are registered, we may send communications to your wireless Device regarding us or other parties.  Further, we may collect information related to your use of the Wireless Features.  If you have registered via KIA CONNECT SERVICES for Wireless Features, then you agree to notify Kia of any changes to your wireless contact information (including phone number) and update your KOP Account on KIA CONNECT SERVICES to reflect the changes.  

    C.

    Location-based Features.  If your Vehicle supports, and you have enabled, our location-based features, you acknowledge and consent that your wireless Device and Vehicle location, including Vehicle route and trip data (e.g., start and end location and route taken), may be collected, stored, tracked, and shared with others consistent with the Kia Connect Privacy Policy. Some mobile app(s) or feature(s) allow for you to disable location-based features or manage preferences related to them.  However, you can only terminate all Device location tracking by uninstalling the KIA CONNECT SERVICES App from your Device but you cannot disable location tracking by your Vehicle without removing your KIA CONNECT SERVICES Hardware from your Vehicle for “connected Vehicles” (i.e., a Vehicle without an embedded modem) or deactivating the modem within your KIA CONNECT SERVICES Hardware for “embedded modem” Vehicles. The location-based services offered in connection with KIA CONNECT SERVICES are for individual use only and should not be used while driving or operating vehicles, or used in connection with any hazardous environments requiring fail-safe performance, or any other situation in which the failure or inaccuracy of use of the location-based services could lead directly to death, personal injury, or severe physical or property damage.  The location-based services are not suited or intended for family finding purposes, fleet tracking, or any other type of business or enterprise use; other products exist today that may be used specifically for these purposes.

     

  26.  
  27. CONSENT TO COLLECTION, ACCESS, MONITORING, AND RECORDING.

    A.

    Information Collected and Used by Us. In providing the KIA CONNECT SERVICES to you, and as also set forth in the Kia Connect Privacy Policy, we may collect and retain an electronic or other record of certain information about you and/or your Vehicle (including any occupants thereof), including: your Vehicle’s description, geographic location (via Global Positioning System (GPS) technology), speed, direction of travel, time of travel, service data, eco-related driving performance or charging data, mechanical condition or incidents involving your Vehicle, and data from sensing or diagnostic modules (such as trouble codes, tire pressure, battery voltage, coolant temperature, eco-related driving performance or charging habits, service requirements, and the like); driver behavior data; your search content; and information about anyone making a KIA CONNECT SERVICES call from your Vehicle or under your account, including the date, time, and duration of the call and any Kia Connect Call Center agent notes written during a call. You consent to our recording and/or monitoring your Vehicle’s location or other information when (1) KIA CONNECT SERVICES is active in your Vehicle; (2) your airbag deploys or a severe impact occurs; (3) you report your Vehicle as stolen to law enforcement, and you request our assistance in recovering the Vehicle; (4) as permitted by applicable state and federal laws, rules, and regulations; (5) in connection with our attempts to communicate with you or recover your Vehicle pursuant to agreements governing the lease or financing of your Vehicle; or (6) when your Vehicle data is aggregated for general analysis and quality improvement purposes.

    We may use the information we collect from your Vehicle: to deliver the KIA CONNECT SERVICES to you; to manage your KIA CONNECT SERVICES account; to improve occupant and vehicle safety; for analysis and research purposes; to improve your KIA CONNECT SERVICES experience; to develop and provide new KIA CONNECT SERVICES features; to provide service notifications/alerts; to participate in government programs; and to enhance your overall ownership experience. We may share certain information collected from KIA CONNECT SERVICES with our dealers to assist in performing service diagnosis and repairs and to improve your customer experience. We may share information we collect with our Service Providers for purposes of providing the KIA CONNECT SERVICES and maintaining your account. We may also share information as necessary with affiliates and third parties for analysis and research purposes, including data analytics partners. We require our Service Providers and third parties to use any information we provide them only as we specify. We may also disclose information to individuals designated by you to be contacted in an emergency. When required, you agree we may release information, including location data, to comply with applicable laws or regulations, in legal proceedings to respond to judicial subpoenas or court orders, in cooperation with law enforcement agencies, and to enforce the terms of this Agreement and any agreement related to the lease or financing of your Vehicle. We may share certain of your Vehicle information with government entities consistent with this agreement and as permitted by applicable law. You should know that we have no control over the manner in which such a government entity may use your data. Any data which we collect or which you provide to us which is not identifiable to you, including functionality use, statistics, performance data, and quality metrics, shall be owned by us.

    B.

    Monitoring and Recording With Sales and Customer Service Representatives. For quality assurance and other purposes, we and our Service Providers may monitor and record conversations between customer service center representatives and your Vehicle’s occupants, as well as any conversations between customer service center representatives and you or others contacting the customer service centers to discuss your KOP Account outside of the Vehicle.  YOU CONSENT, ON BEHALF OF YOURSELF, ALL OCCUPANTS OF YOUR VEHICLE, AND ANYONE ENGAGED IN A CONVERSATION WITH US OR A SERVICE PROVIDER ABOUT YOUR VEHICLE OR YOUR KOP ACCOUNT, TO THE COLLECTION, MONITORING, STORAGE, AND RECORDING OF ALL CONVERSATIONS BETWEEN THE SERVICE CENTER REPRESENTATIVES AND SUCH PERSONS,  AND YOU RELEASE KIA FROM AND AGAINST ANY AND ALL CLAIMS, LIABILITIES, AND LOSSES THAT MAY RESULT FROM ANY SUCH MONITORED AND/OR RECORDED CONVERSATIONS .  You further agree that call recordings may be shared with Kia dealers and other Service Providers.  Kia may also be legally required to provide location data and other information obtained through KIA CONNECT SERVICES Hardware to law enforcement agencies.  YOU RELEASE KIA FROM AND AGAINST ANY AND ALL CLAIMS OR LIABILITIES ARISING OUT OF THE DISCLOSURE OF INFORMATION UNDER THOSE CIRCUMSTANCES.  

    C.

    Collection and Storage of Voice Data. When you use interactive voice control features, we and our Service Providers may collect and store voice data to enable voice control and voice inputs. YOU CONSENT, ON BEHALF OF YOURSELF AND ALL OCCUPANTS OF YOUR VEHICLE, TO THE COLLECTION AND STORAGE OF SUCH VOICE DATA RESULTING FROM YOUR USE OF IN-VEHICLE VOICE CONTROL FEATURES, AND YOU RELEASE KIA FROM AND AGAINST ANY AND ALL CLAIMS, LIABILITIES, AND LOSSES THAT MAY RESULT FROM ANY SUCH USE OF THE TECHNOLOGY.

    D.

    Your Consent. YOU CONSENT, ON BEHALF OF YOU AND OCCUPANTS IN YOUR VEHICLE, TO WIRELESS COMMUNICATION BEING CONDUCTED IN YOUR VEHICLE TO ENABLE OUR SERVICE PROVIDERS TO DELIVER KIA CONNECT SERVICES TO YOU AND OCCUPANTS IN YOUR VEHICLE. YOU, ON BEHALF OF YOU AND OCCUPANTS IN YOUR VEHICLE, ALSO CONSENT TO THE COLLECTION, RECORDING, ACCESS, STORING, AND USE OF THE INFORMATION DESCRIBED IN THESE TERMS AND IN OUR KIA CONNECT PRIVACY POLICY, INCLUDING TO THE EXTENT THAT KIA CONNECT SERVICES (OR ANY OTHER DEVICE WITHIN YOUR VEHICLE) ARE CONSIDERED AN EVENT DATA RECORDER UNDER STATE AND/OR FEDERAL LAW. FURTHER, YOU HEREBY RELEASE KIA FROM AND AGAINST ANY AND ALL CLAIMS OR LIABILITIES ARISING OUT OF THE COLLECTION, RECORDING, ACCESS, STORING, AND USE OF THIS INFORMATION BY US OR OUR SERVICE PROVIDERS. YOU ALSO AGREE THAT WE MAY CONTACT YOU IN YOUR VEHICLE, BY ELECTRONIC MAIL, OR BY TELEPHONE AT ANY NUMBER WE HAVE ON FILE FOR YOU, EVEN IF DOING SO MAY RESULT IN ADDITIONAL TELECOMMUNICATIONS FEES OR CHARGES TO YOU, TO DISCUSS YOUR KOP ACCOUNT OR FOR OTHER BUSINESS PURPOSES.

    IF YOU CONTACT US TO DISABLE KIA CONNECT SERVICES, AND WE ARE ABLE TO DISABLE ANY OF THE KIA CONNECT SERVICES AVAILABLE IN YOUR VEHICLE, IT MAY TAKE UP TO THREE (3) BUSINESS DAYS FOR SOME RELEVANT KIA CONNECT SERVICES TO BE DISABLED.  YOU CONSENT TO OUR CONTINUED COLLECTION, RECORDING, ACCESS, STORING, AND USE OF APPLICABLE VEHICLE INFORMATION WHILE ANY REQUEST TO DISABLE KIA CONNECT SERVICES IS BEING FULFILLED.

  29. NO WARRANTIES. Warranties are special kinds of promises. Your KIA CONNECT SERVICES Hardware may be covered by your Vehicle’s warranty so please check your warranty for details about specifically what is covered. HOWEVER, YOUR VEHICLE’S WARRANTY does not cover the KIA CONNECT SERVICES App, which is provided to you on an “as is” and “where is” basis, without any warranty of any kind, express or implied. IN ADDITION, KIA CANNOT PROMISE UNINTERRUPTED OR PROBLEM-FREE SERVICE, AND CANNOT PROMISE THAT THE DATA, FEATURES, OR INFORMATION PROVIDED TO YOU WILL BE ERROR-FREE. ALL DATA AND INFORMATION IS PROVIDED TO YOU ON AN “AS IS” BASIS. KIA HEREBY EXPRESSLY DISCLAIMS ANY AND ALL WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, ABOUT KIA CONNECT SERVICES HARDWARE, KIA CONNECT SERVICES (INCLUDING THE CONTENT AND FEATURES), AND ANY DATA AND INFORMATION AND SERVICES PROVIDED THROUGH IT, INCLUDING, WITHOUT LIMITATION, ANY WARRANTIES AS TO CONTENT, QUALITY, ACCURACY, TIMELINESS, COMPLETENESS, CORRECTNESS, RELIABILITY, NON-INFRINGEMENT, MERCHANTABILITY, TITLE, CUSTOM, TRADE, QUIET ENJOYMENT, SYSTEM INTEGRATION, FREEDOM FROM COMPUTER VIRUS, OR FITNESS FOR A PARTICULAR PURPOSE. ALL SUCH WARRANTIES ARE EXPRESSLY EXCLUDED BY THESE TERMS.

  31. LIMITATIONS OF LIABILITY. YOU AND WE ARE EACH WAIVING IMPORTANT RIGHTS. UNLESS FORBIDDEN BY LAW IN A PARTICULAR INSTANCE, WE EACH AGREE AS FOLLOWS:

    A.

    WE ARE NOT LIABLE FOR THE ACTIONS OR INACTIONS OF ANY SERVICE PROVIDER WE CONTACT FOR YOU OR YOUR VEHICLE, OR FOR OUR INABILITY TO CONTACT ANY SERVICE PROVIDER IN ANY PARTICULAR SITUATION.

    B.

    WE ARE NOT LIABLE TO YOU FOR: (1) ANY INJURIES TO PERSONS OR PROPERTY ARISING OUT OF OR RELATING TO YOUR OR THE OCCUPANTS' OR YOUR VEHICLE’S USE OF KIA CONNECT SERVICES, INCLUDING THE FEATURES AVAILABLE THROUGH KIA CONNECT SERVICES, OR (2) ANY DAMAGES ARISING OUT OF OR RELATING TO THE INSTALLATION, REPAIR, OR MAINTENANCE OF KIA CONNECT SERVICES HARDWARE.

    C.

    THE MAXIMUM AGGREGATE LIABILITY OF KIA TO YOU UNDER ANY THEORY (INCLUDING, BUT NOT LIMITED TO, FRAUD, MISREPRESENTATION, BREACH OF CONTRACT, PERSONAL INJURY, OR PRODUCTS LIABILITY) IS LIMITED TO TEN DOLLARS (U.S. $10.00). YOU AGREE THAT KIA WOULD NOT HAVE AGREED TO PROVIDE KIA CONNECT SERVICES TO YOU IF YOU DID NOT AGREE TO THIS LIMITATION. THIS AMOUNT IS THE SOLE AND EXCLUSIVE LIABILITY OF KIA AND ANY OTHER THIRD PARTY BENEFICIARIES TO YOU, AND IS PAYABLE AS LIQUIDATED DAMAGES AND NOT AS A PENALTY. THIS LIMITATION ON LIABILITY PROVISION SHALL BE ENFORCED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

    D.

    WE HAVE NO LIABILITY FOR SERVICE INTERRUPTIONS.  NO ONE, INCLUDING, WITHOUT LIMITATION, KIA AND OUR SERVICE PROVIDERS, IS LIABLE TO YOU FOR DROPPED CALLS OR INTERRUPTED SERVICE (EXCEPT CALL CREDIT OFFERED BY A TELEMATICS SERVICE PROVIDER (IF ANY)), OR FOR PROBLEMS CAUSED BY OR CONTRIBUTED TO BY YOU, BY ANY THIRD PARTY, BY BUILDINGS, HILLS, TUNNELS, NETWORK CONGESTION, ATMOSPHERIC CONDITIONS, OR WEATHER, BY UNAVAILABILITY OF OR LACK OF UP-TO-DATE CHARGING STATION LOCATION INFORMATION FOR KIA ELECTRIC OR PLUG-IN HYBRID VEHICLES, OR ANY ISSUES KIA OR OUR SERVICE PROVIDERS ARE UNABLE TO CONTROL.  UNDER NO CIRCUMSTANCES WILL KIA OR ITS SERVICE PROVIDERS BE RESPONSIBLE OR LIABLE FOR ANY LOSS OR DAMAGES OF ANY KIND, INCLUDING PERSONAL INJURY OR DEATH, OR FOR ANY DIRECT, INDIRECT, ECONOMIC, EXEMPLARY, SPECIAL, PUNITIVE, INCIDENTAL, OR CONSEQUENTIAL LOSSES OR DAMAGES THAT ARE DIRECTLY OR INDIRECTLY RELATED TO KIA CONNECT SERVICES (INCLUDING THE CONTENT AND FEATURES AVAILABLE THEREFROM); YOUR USE OF OR INABILITY TO USE KIA CONNECT SERVICES, OR THE PERFORMANCE OF KIA CONNECT SERVICES; ANY ACTION TAKEN IN CONNECTION WITH AN INVESTIGATION BY KIA OR LAW ENFORCEMENT AUTHORITIES REGARDING YOUR ACCESS TO OR USE OF KIA CONNECT SERVICES; ANY ACTION TAKEN IN CONNECTION WITH COPYRIGHT OR OTHER INTELLECTUAL PROPERTY OWNERS OR OTHER RIGHTS OWNERS; ANY ERRORS OR OMISSIONS IN KIA CONNECT SERVICES’ TECHNICAL OPERATION; OR ANY DAMAGE TO ANY USER’S COMPUTER, HARDWARE, SOFTWARE, MODEM, OR OTHER EQUIPMENT OR TECHNOLOGY, INCLUDING DAMAGE FROM ANY SECURITY BREACH, VEHICLE HACKING EVENT, OR FROM ANY VIRUS, BUGS, TAMPERING, FRAUD, ERROR, OMISSION, INTERRUPTION, DEFECT, DELAY IN OPERATION OR TRANSMISSION, COMPUTER LINE, OR NETWORK FAILURE OR ANY OTHER TECHNICAL OR OTHER MALFUNCTION, INCLUDING LOSSES OR DAMAGES IN THE FORM OF LOST PROFITS, LOSS OF GOODWILL, LOSS OF DATA, WORK STOPPAGE, ACCURACY OF RESULTS, OR EQUIPMENT FAILURE OR MALFUNCTION.

    E.

    NOTWITHSTANDING ANYTHING ELSE IN THESE TERMS, YOU AGREE TO EXCUSE ANY NON-PERFORMANCE BY US CAUSED, IN WHOLE OR IN PART, BY AN ACT OR OMISSION OF A THIRD PARTY, OR BY ANY EQUIPMENT FAILURE, ACT OF GOD, NATURAL DISASTER, STRIKE, EQUIPMENT OR FACILITY SHORTAGE, OR OTHER CAUSES BEYOND THE CONTROL OF KIA.

    F.

    YOU AGREE THAT KIA IS NOT LIABLE FOR ANY ERRORS, UNAVAILABILITY, DEFECTS, PROBLEMS, OR MISTAKES IN DATA OR INFORMATION TRANSMITTED THROUGH KIA CONNECT SERVICES.

    G.

    You agree that the limitations of liability and indemnities in these Terms will survive even after you no longer access KIA CONNECT SERVICES or you no longer have your Vehicle. These limitations of liability apply not only to you, but to anyone using your Vehicle, to anyone making a claim on your behalf, and to any claims made by your family, employees, customers, or others arising out of or relating to KIA CONNECT SERVICES.

    NOTE: Some states do not allow an exclusion or limitation of incidental or consequential damages or certain other damages, so some of the limitations above may not apply in some situations.

  33. NOT INSURANCE. KIA CONNECT SERVICES are provided by Kia as a convenience.  We are not an insurance company.  You promise you will obtain and maintain appropriate insurance covering personal injury, loss of property, and other risks.  FOR YOURSELF AND FOR ANYONE ELSE CLAIMING UNDER YOU, YOU HEREBY RELEASE AND DISCHARGE KIA FROM AND AGAINST ALL HAZARDS COVERED BY YOUR INSURANCE.  NO INSURANCE COMPANY OR INSURER WILL HAVE ANY RIGHT OF SUBROGATION AGAINST KIA.

  35. YOUR RESPONSIBILITY FOR ANY THIRD-PARTY CLAIMS. IN ORDER TO RECEIVE ANY OF THE KIA CONNECT SERVICES, YOU AGREE THAT YOU WILL, TO THE MAXIMUM EXTENT PERMITTED BY LAW, INDEMNIFY, DEFEND, AND HOLD KIA HARMLESS FROM AND AGAINST ANY AND ALL CLAIMS, DAMAGES, LOSSES, LIABILITIES, JUDGMENTS, FINES, PENALTIES, SETTLEMENTS, INTEREST, AND AMOUNTS ANYONE ELSE, INCLUDING, WITHOUT, LIMITATION, OTHER PEOPLE’S USE OF KIA CONNECT SERVICES WHO ARE OCCUPANTS OF YOUR VEHICLE, CLAIMS FROM US, PLUS ANY AND ALL COSTS AND EXPENSES WE MAY INCUR (INCLUDING REASONABLE OUTSIDE ATTORNEYS’ FEES), RESULTING FROM ANY CLAIM, DEMAND, OR ACTION, REGARDLESS OF THE NATURE OF THE CAUSE OF THE CLAIM, DEMAND, OR ACTION ALLEGING LOSS, COSTS, EXPENSES, DAMAGES, OR INJURIES (INCLUDING INJURIES RESULTING IN DEATH) ARISING OUT OF OR IN CONNECTION WITH: (1) YOUR BREACH OR ANTICIPATORY BREACH OF THESE TERMS OR ANY ADDITIONAL TERMS; (2) THE ACTIVITIES CONTEMPLATED BY THESE TERMS OR KIA CONNECT SERVICES, WHETHER BROUGHT BY YOU, THE OCCUPANTS OF YOUR VEHICLE, YOUR EMPLOYEES, OR THIRD PARTIES, EVEN IF DUE TO THE SOLE NEGLIGENCE OF KIA OR ANY OF THE SERVICE PROVIDERS; (3) THE USE OR POSSESSION OF DATA OR INFORMATION PROVIDED IN CONNECTION WITH KIA CONNECT SERVICES; (4) CLAIMS FOR LIBEL, SLANDER, OR ANY PROPERTY DAMAGE, PERSONAL INJURY, OR DEATH, ARISING OUT OF OR RELATED IN ANY WAY DIRECTLY OR INDIRECTLY TO THESE TERMS; (5) YOUR VIOLATION OR ANTICIPATORY VIOLATION OF ANY LAWS, RULES, REGULATIONS, CODES, STATUTES, ORDINANCES, OR ORDERS OF ANY GOVERNMENTAL OR QUASI-GOVERNMENTAL AUTHORITIES IN CONNECTION WITH YOUR USE OF KIA CONNECT SERVICES OR YOUR ACTIVITIES IN CONNECTION WITH KIA CONNECT SERVICES; (6) INFORMATION OR MATERIAL TRANSMITTED THROUGH YOUR DEVICE, EVEN IF NOT SUBMITTED BY YOU, THAT INFRINGES, VIOLATES, OR MISAPPROPRIATES ANY COPYRIGHT, TRADEMARK, TRADE SECRET, TRADE DRESS, PATENT, PUBLICITY, PRIVACY, OR OTHER RIGHT OF ANY PERSON OR ENTITY; (7) ANY MISREPRESENTATION MADE BY YOU; (8) THE USE, FAILURE TO USE, OR INABILITY TO USE KIA CONNECT SERVICES, EXCEPT WHERE THE CLAIMS RESULT FROM THE GROSS NEGLIGENCE OR WILLFUL MISCONDUCT OF KIA OR ANY OF THE SERVICE PROVIDERS; AND (9) YOUR FAILURE TO COMPLY WITH ALL OF YOUR OBLIGATIONS HEREUNDER, INCLUDING, WITHOUT LIMITATION, FAILURE TO GET THE CONSENT OF OTHERS IN YOUR VEHICLE TO MONITOR AND RECORD ACTIVITIES WITHIN THE VEHICLE (COLLECTIVELY, “CLAIMS AND LOSSES”).  You will cooperate as fully required by Kia in the defense of any Claim and Losses.  Notwithstanding the foregoing, Kia retains the exclusive right to settle, compromise, and pay any and all Claims and Losses.  Kia reserves the right to assume the exclusive defense and control of any Claims and Losses.  You will not settle any Claims and Losses without, in each instance, the prior written consent of an officer of Kia.

  37. GENERAL PROVISIONS.

    A.

    Amendments. This Agreement may be updated from time to time. You should check this website regularly for updates to this Agreement. Each time you access or use the KIA CONNECT SERVICES, the KIA CONNECT SERVICES Hardware, or the Kia Owners Portal, you signify your acceptance and agreement, without limitation or qualification, to be bound by the then current Agreement. Modifications take effect as soon as they are posted to this website (or any of the websites, to the extent applicable to you), delivered to you, or reasonably made available to you in writing by Kia. 

    B.

    Communicating with Each Other. ANY WRITTEN NOTICE FROM YOU REQUIRED BY THESE TERMS WILL BE CONSIDERED GIVEN WHEN WE RECEIVE IT AT OUR ADDRESS PROVIDED IN SECTION 7(B) OF THESE TERMS.  ANY WRITTEN NOTICE FROM US REQUIRED BY THESE TERMS WILL BE CONSIDERED GIVEN WHEN WE SEND IT BY EMAIL TO ANY EMAIL ADDRESS YOU'VE PROVIDED TO US, OR TWO (2) DAYS AFTER WE MAIL IT TO YOU AT THE MOST CURRENT HOME ADDRESS WE HAVE ON FILE FOR YOU.  Any oral notices will be considered given when we call you or when you call the Kia Connect Call Center at: 1-844-886-9411.  You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.

    C.

    Others Covered by these Terms. EACH OF THE PERSONS/ENTITIES LISTED IN THE FIRST PARAGRAPH OF THE "FULL DETAILS OF TERMS OF SERVICE" SECTION ABOVE IS BOUND BY THIS AGREEMENT.  YOU AGREE THAT YOU WILL MAKE ALL OF THE OCCUPANTS OF YOUR VEHICLE, WHETHER PASSENGERS, GUESTS, OR DRIVERS OF YOUR VEHICLE, AWARE OF OUR RIGHTS AND SUBJECT TO THE LIMITATIONS OF THESE TERMS.  

    D.

    Our Relationship. Despite anything else these Terms say, these Terms do not create any fiduciary relationships between you and us.  The Terms also do not create any relationship of principal and agent, partnership, or employer and employee. 

    E.

    Assignment. We can assign these Terms, in whole or in part, to anyone we choose.  You cannot assign these Terms or your obligations to anyone else without our prior written consent and any attempted assignment in violation of this provision shall be void.

    F.

    Kia’s Consent or Approval. As to any provision in these Terms or any Additional Terms that grants Kia a right of consent or approval, or permits Kia to exercise a right in its “sole discretion,” Kia may exercise that right in its sole and absolute discretion.  No Kia consent or approval may be deemed to have been granted by Kia without being in writing and signed by an officer of Kia.

    G.

    Investigations; Cooperation with Law Enforcement; Termination; Survival. Kia reserves the right, without any limitation, to: (i) investigate any suspected breaches of KIA CONNECT SERVICES and Vehicle security or its information technology or other systems or networks; (ii) investigate (including access) and use any information collected through KIA CONNECT SERVICES in any warranty or other type of claim or in any dispute with you (e.g., in the instance you fail to follow any recommended maintenance notifications provided by or through KIA CONNECT SERVICES and we determine that your Vehicle is no longer eligible for warranty service); (iii) investigate any suspected breaches of these Terms and any Additional Terms; (iv) investigate (including access) any information obtained by Kia in connection with reviewing law enforcement databases or complying with criminal laws; (v) involve and cooperate with law enforcement authorities in investigating any of the foregoing matters (including, without limitation, providing information to law enforcement authorities collected by KIA CONNECT SERVICES); (vi) prosecute violators of these Terms and any Additional Terms; and (vii) discontinue KIA CONNECT SERVICES, in whole or in part, or, except as may be expressly set forth in any Additional Terms, suspend or terminate your access to it, in whole or in part, including any user accounts or registrations, at any time, without notice, for any reason and without any obligation to you or any third party.  Any suspension or termination will not affect your obligations to Kia under these Terms or any Additional Terms.  Upon suspension or termination of your access to certain KIA CONNECT SERVICES, or upon notice from Kia, all rights granted to you under these Terms or any Additional Terms will cease immediately, and you agree that you will immediately discontinue use of KIA CONNECT SERVICES.  The provisions of these Terms and any Additional Terms, which by their nature should survive your suspension or termination will survive, including the rights and licenses you grant to Kia in these Terms, as well as the indemnities, releases, disclaimers, and limitations on liability and the provisions regarding jurisdiction, choice of law, no class action, and mandatory arbitration.

    H.

    Operation of KIA CONNECT SERVICES; Availability of Products and Services; International Issues. Kia controls and operates KIA CONNECT SERVICES from its U.S.-based offices in the U.S.A., and Kia makes no representation that KIA CONNECT SERVICES is appropriate or available for use beyond the U.S.A.  If you attempt to use KIA CONNECT SERVICES from locations outside of the U.S., you are doing so on your own initiative and are responsible for compliance with applicable local laws regarding your online conduct and acceptable content, if and to the extent local laws apply.  KIA CONNECT SERVICES may describe products and services that are available only in the U.S. (or only parts of it) and are not available worldwide.  We reserve the right to limit the availability of KIA CONNECT SERVICES and/or the provision of any content, program, product, service, or other feature described or available on KIA CONNECT SERVICES to any person, entity, geographic area, or jurisdiction, at any time and in our sole discretion, and to limit the quantities of any content, program, product, service, or other feature that we provide.  You and we disclaim any application to these Terms to the Convention on Contracts for the International Sale of Goods.

    I.

    Export Controls. Software related to or made available by KIA CONNECT SERVICES may be subject to export controls of the United States.  No software from KIA CONNECT SERVICES may be downloaded, transferred, released, exported, or re-exported (i) into (or to a national or resident of) any country or other jurisdiction on which the United States has embargoed goods, software, technology, or services or imposed comprehensive territorial sanctions (which, as of the effective date of these Terms, includes Cuba, North Korea, Iran, Syria, and the Crimea, ‘Donetsk People’s Republic,’ and ‘Luhansk People’s Republic’ regions of Ukraine) or comprehensive export controls on items described on the Commerce Control List (including, as of the effective date of these Terms, the aforementioned countries and territories as well as Russia and Belarus), or (ii) to any individual or entity on the U.S. Treasury Department’s List of Specially Designated Nationals and Blocked Persons (“SDN List”) or the U.S. Commerce Department’s Table of Deny Orders or Denied Person List, or (iii) to any individual or entity on the U.S. Department of Commerce’s Entity List, Military End User List, or Unverified List as published in the Export Administration Regulations, 15 C.F.R. Part 744, or (iv) to any other individual, entity, country, or territory to which such provision would require a U.S. sanctions or export control license. You are responsible for complying with all applicable trade laws and regulations, including those maintained by the United States government. Except as authorized by law, you agree and warrant not to transfer, release, export or re-export the software, or to provide or transfer the services received under the KIA CONNECT SERVICES, to any country or territory, or to any person, entity, or end-user targeted by U.S. export controls or sanctions, including as set forth in subsections (i) – (iv) above.  You represent and warrant that: (i) you are not located in a country or territory that is subject to a U.S. government embargo, comprehensive export controls, or comprehensive territorial sanctions, or that has been designated by the U.S. government as a “terrorist supporting” country; and (ii) you are not listed on any U.S. government list of prohibited or restricted parties, including the SDN List, the Entity List, the Military End User List, or the Unverified List.

    J.

    U.S. Government Restricted Rights. If you are a government end user, then this provision applies to you.  KIA CONNECT SERVICES provided in connection with these Terms have been developed entirely at private expense, as defined in FAR section 2.101, DFARS section 252.227-7014(a)(1) and DFARS section 252.227-7015 (or any equivalent or subsequent agency regulation thereof), and is provided as “commercial items,” “commercial computer site,” and/or “commercial computer site documentation.”  Consistent with DFARS section 227.7202 and FAR section 12.212 and to the extent required under U.S. federal law, the minimum restricted rights as set forth in FAR section 52.227-19 (or any equivalent or subsequent agency regulation thereof), any use, modification, reproduction, release, performance, display, disclosure, or distribution thereof by or for the U.S. Government shall be governed solely by these Terms and shall be prohibited except to the extent expressly permitted by these Terms.

    K.

    Connectivity. You are responsible for obtaining and maintaining all Devices and other equipment and software, and all internet service, mobile service, and other services needed for your access to and use of any KIA CONNECT SERVICES (excluding certain services provided by Verizon during trial access to KIA CONNECT SERVICES).

    L.

    Miscellaneous Provisions. These Terms will not be presumptively construed for or against either party.  Section titles contained herein are for convenience only.  If any provision of these Terms, or any Additional Terms, is for any reason deemed invalid, unlawful, void, or unenforceable by a court or arbitrator of competent jurisdiction, then that provision will be deemed severable from these Terms or the Additional Terms, and the invalidity of the provision will not affect the validity or enforceability of the remainder of these Terms or the Additional Terms (which will remain in full force and effect).  Even after these Terms have ended, its provisions will govern any disputes arising out of or relating to it (unless it has been replaced by a new agreement between us).  It will also be binding on your heirs and successors and on our successors and assigns.  No waiver of any part of these Terms, or of any breach of it, in any one instance will require us to waive any other instance or breach.  IN SOME CIRCUMSTANCES WE MIGHT DECIDE TO PROVIDE YOU SERVICE VOLUNTARILY EVEN IF YOU WOULD NOT OTHERWISE QUALIFY. THIS WILL NOT BE DEEMED A WAIVER OR REQUIRE US TO DO SO AGAIN.  YOU AGREE WE WILL NOT BE LIABLE FOR ANYTHING RESULTING FROM OUR PROVISION OF SUCH SERVICE.

  39. THIRD-PARTY TERMS APPLICABLE TO KIA CONNECT SERVICES.

    A.

    Apple Terms. If you are accessing or using the KIA CONNECT SERVICES App through a Device manufactured and/or sold by Apple, Inc. (“Apple”), with such Device herein referenced as an “Apple Device,” the following additional terms and conditions are applicable to you and are incorporated into the Terms by this reference:

    i.

    To the extent that you are accessing the KIA CONNECT SERVICES App through an Apple Device, you acknowledge that these Terms are entered into between you and Kia and, Apple is not a party to these Terms other than as third-party beneficiary as contemplated below.

    ii.

    The license granted to you in Section 5 of these Terms is subject to the permitted Usage Rules set forth in the App Store Terms of Service (see: https://www.apple.com/legal/internet-services/itunes) and any third-party terms of agreement applicable to the KIA CONNECT SERVICES App.

    iii.

    You acknowledge that Kia, and not Apple, is responsible for providing the KIA CONNECT SERVICES App and Content thereof.

    iv.

    You acknowledge that Apple has no obligation whatsoever to furnish any maintenance and support services to you with respect to the KIA CONNECT SERVICES App.

    v.

    To the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the KIA CONNECT SERVICES App.

    vi.

    Notwithstanding anything to the contrary herein, and subject to the terms in these Terms, you acknowledge that, solely as between Apple and Kia, Kia, and not Apple is responsible for addressing any claims you may have relating to the KIA CONNECT SERVICES App, or your possession and/or use thereof, including, but not limited, to: (i) product liability claims, (ii) any claim that the KIA CONNECT SERVICES App fails to confirm to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection or similar legislation.

    vii.

    Further, you agree that if the KIA CONNECT SERVICES App, or your possession and use of the KIA CONNECT SERVICES App, infringes on a third party's intellectual property rights, you will not hold Apple responsible for the investigation, defense, settlement, and discharge of any such intellectual property infringement claims.

    viii.

    You acknowledge and agree that Apple, and Apple’s subsidiaries, are third-party beneficiaries of these Terms, and that, upon your acceptance of the terms and conditions of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third party beneficiary thereof.

    ix.

    When using the KIA CONNECT SERVICES App, you agree to comply with any and all third- party terms that are applicable to any platform, website, technology, or service that interacts with the KIA CONNECT SERVICES App.

    x.

    You represent and warrant that: (i) you are not located in a country that is subject to a U.S. Government embargo or that has been designated by the U.S. Government as a “terrorist supporting” country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.

    B.

    Verizon Terms. If you are accessing or using the telematics services provided through KIA CONNECT SERVICES (which is available for Vehicles with an embedded modem), the following additional terms and conditions are applicable to you and are incorporated into the Terms by this reference:

    i.

    YOU EXPRESSLY UNDERSTAND AND AGREE THAT YOU HAVE NO CONTRACTUAL RELATIONSHIP WHATSOEVER WITH THE UNDERLYING WIRELESS SERVICE CARRIER AND THAT YOU ARE NOT A THIRD-PARTY BENEFICIARY OF ANY AGREEMENT BETWEEN KIA OR ITS AFFILIATE(S) AND THE UNDERLYING CARRIER. IN ADDITION, YOU EXPRESSLY UNDERSTAND AND AGREE THAT THE UNDERLYING CARRIER SHALL HAVE NO LEGAL, EQUITABLE, OR OTHER LIABILITY OF ANY KIND TO YOU AND YOU HEREBY WAIVE ANY AND ALL CLAIMS OR DEMANDS THEREFOR.

    ii.

    YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT THE USE OF ANY INFORMATION AVAILABLE THROUGH THE KIA CONNECT SERVICES, INCLUDING, WITHOUT LIMITATION, ANY TELEMATICS SERVICES PROVIDED TO YOU AS PART OF THE KIA CONNECT SERVICES, IS AT YOU OWN RISK AND RESPONSIBILITY.

    iii.

    YOU ACKNOWLEDGE THAT EXCEPT AS REQUIRED BY LAW, YOU ACQUIRE NO PROPRIETARY INTEREST IN THE NUMBER ASSIGNED BY KIA OR VERIZON FOR YOUR USE IN CONNECTION WITH THE KIA CONNECT SERVICES.

    C.

    HERE Global B.V. Terms. If you are accessing or using maps and/or navigation functionality (collectively, “Maps”) that are provided by HERE Global B.V. (“HERE”) through the KIA CONNECT SERVICES, the following additional terms and conditions are applicable to you and are incorporated into the Terms by this reference: 

    i.

    You acknowledge that when you use Maps, you will strictly comply with HERE’s policies, including, without limitation, the policies available at https://legal.here.com/en-gb and any information collected by HERE through Maps will be subject to HERE’s privacy policy, available at https://legal.here.com/privacy.  Any information or data provided to you by HERE as part of the Maps made available by HERE in KIA CONNECT SERVICES is collectively referred to herein as “Map Data”.

    ii.

    With respect to the Map Data, you agree: (i) you will only use the Map Data for your own personal use within KIA CONNECT SERVICES; (ii) you will not use or combine the Map Data with any geographic data of competitors of HERE; (iii) you will not reverse-engineer or archive the Map Data; and (iv) you will not export the Map Data (or any derivative thereof), except in compliance with applicable export laws, rules and regulations.   We will terminate your use of the Map Data if you fail to comply with any of HERE’s policies referenced above or the terms set forth in this Section 21(C).  

    iii.

    You agree to comply with the regulatory and third-party supplier restrictions and obligations (including copyright notices) that apply to Maps, which are available at https://legal.here.com/en-gb/terms/general-content-supplier-terms-and-notices (or as other notified to you by HERE) and are incorporated herein by this reference.

    iv.

    If you are a government end user, you acknowledge that the Map Data is a “commercial item,” as that term is defined at 48 C.F.R. (“FAR”) 2.101, and is licensed in accordance with HERE’s policies referenced in Section 21(C)(i) above.

    v.

    You acknowledge with respect to the Maps and Map Data, you disclaim: (i) any warranties, express, implied, or otherwise, of quality, performance, merchantability, fitness for a particular purpose, and non-infringement; (ii) any liability for any claim, demand, or action, irrespective of the nature of the cause of the claim, demand, or action arising out of the use or possession of the Map Data; or for any loss of profit, revenue, contracts, or savings, or any other direct, indirect, incidental, special, or consequential damages arising out of the use of, or inability to use, the Map Data, any defect or inaccuracy in the Map Data, or the breach of this Section 21(C), whether in an action in contract or tort or based on a warranty, even if you, Kia, HERE, or their affiliates or suppliers have been advised of the possibility of such damages.

    vi.

    You acknowledge that Kia has not made or implied any warranties on behalf of HERE, its affiliates, or their data suppliers, and these Terms provide no right of liability or indemnity against HERE, its affiliates, or their data suppliers.
